1. Acceptance of These Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and MechConnect governing your access to and use of the MechConnect mobile application, website, software, APIs, databases, communication systems, technology infrastructure, artificial intelligence features, payment systems, and all related products, services, and functionality (collectively, the "Platform" or "Services").
MechConnect is a technology marketplace designed to facilitate connections between Customers and independent Mechanics who provide services relating to automobiles, motorcycles, commercial vehicles, semi-trucks, trailers, recreational vehicles, powersports vehicles, marine vessels, aircraft, agricultural equipment, construction equipment, industrial equipment, utility vehicles, heavy equipment, and any additional vehicle or transportation categories that MechConnect may support now or in the future.
By accessing, browsing, downloading, installing, registering for, creating an account on, communicating through, purchasing services through, or otherwise using the Platform, you acknowledge and agree that you have carefully read these Terms in their entirety; you understand these Terms; you agree to be legally bound by these Terms; you agree to comply with all applicable laws and regulations; and you agree to all additional agreements incorporated into these Terms, including the Privacy Policy, End User License Agreement ("EULA"), Customer User Agreement, Mechanic User Agreement, and any other policies or guidelines published by MechConnect.
If you do not agree to these Terms, you must immediately discontinue use of the Platform. These Terms apply to every visitor, Customer, Mechanic, business, fleet operator, repair facility, dealership, marina service provider, aviation maintenance provider, towing provider, roadside assistance provider, detailing business, inspection provider, transportation company, commercial service provider, and every other individual or entity accessing or using the Platform.
2. Definitions
"Company" means MechConnect and its owners, officers, directors, employees, contractors, affiliates, subsidiaries, successors, assigns, licensors, authorized representatives, and service providers.
"Platform" means the MechConnect mobile application, website, APIs, databases, software, communication systems, payment integrations, artificial intelligence systems, technology infrastructure, and every feature, function, or service operated by MechConnect.
"Services" means every feature, capability, tool, communication system, scheduling function, payment function, verification program, marketplace service, software feature, and other functionality made available through the Platform. MechConnect reserves the right to add, modify, suspend, discontinue, or expand Services at any time.
"Vehicle" means any automobile, passenger vehicle, pickup truck, SUV, van, commercial vehicle, semi-truck, tractor-trailer, trailer, bus, recreational vehicle, camper, motorcycle, scooter, moped, dirt bike, ATV, UTV, side-by-side, snowmobile, golf cart, utility vehicle, marine vessel, boat, yacht, sailboat, personal watercraft, aircraft, helicopter, agricultural equipment, construction equipment, industrial equipment, heavy equipment, fleet vehicle, emergency vehicle, specialty vehicle, or any other transportation equipment or machinery supported by the Platform.
"Vehicle-Related Services" means inspection, diagnosis, maintenance, repair, restoration, fabrication, customization, installation, detailing, cleaning, painting, refinishing, welding, towing, roadside assistance, transportation, recovery, inspections, modifications, marine services, aviation maintenance (where legally permitted), heavy equipment service, agricultural equipment service, commercial fleet service, and any additional services supported by MechConnect.
"User" means any individual or business that accesses or uses the Platform. "Customer" means any User seeking Vehicle-Related Services through the Platform. "Mechanic" means any independent individual or business offering Vehicle-Related Services through the Platform.
"Content" means every review, rating, message, photograph, video, document, communication, estimate, invoice, repair description, inspection report, diagnostic information, vehicle information, profile, listing, comment, pricing information, audio recording, or other information submitted, transmitted, uploaded, displayed, or otherwise made available through the Platform.
"Transaction" means every request, quote, estimate, booking, appointment, diagnosis, inspection, maintenance service, repair, payment, replacement part approval, communication, cancellation, or other interaction occurring through or resulting from the Platform.
3. Eligibility
By using the Platform, you represent and warrant that:
• You are at least eighteen (18) years of age or otherwise possess the legal capacity to enter into legally binding agreements under applicable law.
• All information submitted to MechConnect is accurate, truthful, complete, and current.
• You will promptly update any information that becomes inaccurate or incomplete.
• You are not prohibited from using the Platform under any applicable federal, state, local, or international law.
• Your use of the Platform complies with all applicable laws, regulations, governmental orders, sanctions, licensing requirements, and court orders.
If you create or use an account on behalf of a corporation, partnership, limited liability company, governmental agency, nonprofit organization, repair facility, dealership, fleet operator, marina, aviation maintenance organization, towing company, or any other legal entity, you represent and warrant that you possess full authority to legally bind that entity to these Terms.
MechConnect reserves the right to deny access, suspend accounts, require additional verification, or permanently terminate access whenever it reasonably determines that a User does not satisfy these eligibility requirements or where continued access may expose the Platform or its Users to unreasonable legal, financial, operational, or safety risks.
4. Electronic Acceptance and Electronic Signatures
By clicking "I Agree," creating an account, electronically accepting any agreement, submitting information through the Platform, communicating through the Platform, scheduling services, approving estimates, authorizing replacement parts, making payments, or otherwise using the Platform, you agree that your actions constitute your legally binding electronic signature.
You further consent to receive electronically: contracts; notices; disclosures; communications; invoices; receipts; transaction records; legal notices; Platform updates; and any other records relating to your use of the Platform.
Electronic records maintained by MechConnect shall be considered originals to the fullest extent permitted by applicable law and satisfy any legal requirement that communications or agreements be provided in writing.
5. Nature of the Platform
MechConnect operates solely as an independent technology marketplace. The Platform is designed to facilitate communication and Transactions between independent Customers seeking Vehicle-Related Services and independent Mechanics offering those services.
MechConnect itself does not perform, supervise, direct, inspect, certify, recommend, manage, or control any Vehicle-Related Services. Without limitation, MechConnect does not: repair Vehicles; diagnose mechanical problems; inspect Vehicles; supervise repairs; employ Mechanics; control repair procedures; establish labor rates; provide technical supervision; certify repairs; guarantee repair outcomes; guarantee appointments; manufacture replacement parts; sell replacement parts unless expressly stated; operate repair facilities; operate towing services; operate marinas; operate aviation maintenance facilities; operate dealerships; operate inspection stations; or provide engineering or professional repair advice.
Instead, MechConnect provides software and technology that enables independent Users to locate one another, communicate, exchange estimates, authorize work, approve replacement parts where supported by the Platform, process payments through authorized third-party providers, document Transactions, and review completed services.
Nothing contained within these Terms shall be interpreted as creating any obligation for MechConnect to supervise repairs, inspect completed work, verify diagnoses, evaluate workmanship, certify safety, or guarantee the quality, legality, or outcome of any service performed by an independent Mechanic.
6. Independent Contractor Relationship
Every Mechanic using the Platform operates as an independent business or independent contractor. Nothing contained within these Terms, the Platform, the Customer User Agreement, the Mechanic User Agreement, or any communication from MechConnect creates any relationship of employment, agency, partnership, joint venture, franchise, fiduciary relationship, employer-employee relationship, or representative authority.
Mechanics retain exclusive control over every aspect of their independent businesses, including whether to accept or decline service requests; geographic service areas; operating hours; pricing; labor rates; service offerings; repair methods; diagnostic procedures; business expenses; personnel; equipment; replacement parts; safety procedures; and professional judgment.
Customers independently determine whether they wish to hire a particular Mechanic and whether they wish to authorize recommended work. MechConnect is not a party to contracts entered into between Customers and Mechanics and assumes no responsibility for negotiating, supervising, enforcing, or guaranteeing those agreements.
Nothing contained within these Terms authorizes any User to act as an employee, representative, spokesperson, partner, or agent of MechConnect. Likewise, no User possesses authority to bind MechConnect to any contract, guarantee, warranty, debt, obligation, legal representation, or financial commitment.
7. User Accounts
Certain features of the Platform require Users to create and maintain an account. Users are solely responsible for maintaining the confidentiality and security of their account credentials.
You agree to: maintain accurate account information; promptly update information that becomes inaccurate; protect your username and password; maintain current contact information; notify MechConnect immediately of suspected unauthorized access; and log out of your account when using shared or public devices.
You remain solely responsible for all activity occurring under your account unless such activity results solely from unauthorized access caused by MechConnect's failure to implement commercially reasonable security measures.
MechConnect reserves the right to require additional identity verification, business verification, licensing documentation, insurance documentation, or other information whenever reasonably necessary to protect Users, investigate fraud, comply with legal obligations, maintain Platform integrity, or verify eligibility.
8. User Responsibilities
Every User agrees to use the Platform honestly, lawfully, professionally, and in good faith. Users remain solely responsible for their own conduct and all decisions made while using the Platform.
Each User represents and warrants that: information submitted to MechConnect is accurate and truthful; they possess all legal rights necessary to use the Platform; they will comply with all applicable laws; they will not misuse the Platform for fraudulent, deceptive, unlawful, or harmful purposes; and they will cooperate with reasonable investigations involving fraud, criminal activity, safety concerns, or violations of these Terms.
Customers acknowledge that they remain solely responsible for selecting a Mechanic, evaluating qualifications, verifying licensing and insurance where appropriate, approving repairs, authorizing replacement parts, inspecting completed work, and determining whether a Vehicle is safe to operate following any service.
Mechanics acknowledge that they remain solely responsible for determining appropriate repair procedures, performing services safely, complying with all applicable laws, maintaining required licenses and insurance, charging only authorized fees, using lawful replacement parts, and exercising independent professional judgment.
Neither Customers nor Mechanics may rely upon MechConnect as a substitute for independent judgment regarding any Transaction. MechConnect neither endorses nor guarantees any User, Vehicle-Related Service, diagnosis, estimate, recommendation, repair, inspection, maintenance procedure, replacement part, certification, review, or business operating through the Platform.
9. Prohibited Conduct
Users agree to use the Platform only for lawful, honest, and legitimate purposes. No User may use MechConnect to engage in conduct that harms another User, interferes with the Platform, misrepresents the nature of a Transaction, avoids properly disclosed Platform fees, or violates applicable law.
Users agree that they will not, directly or indirectly:
• Violate any applicable law, regulation, ordinance, licensing requirement, court order, or governmental restriction.
• Submit false, misleading, deceptive, incomplete, or fraudulent information.
• Impersonate another individual, business, governmental agency, repair facility, fleet operator, marina, aviation organization, or service provider.
• Create, purchase, sell, transfer, or operate multiple accounts to evade restrictions, suspensions, poor ratings, payment obligations, investigations, or enforcement actions.
• Misrepresent ownership of, or authority over, any Vehicle submitted for service.
• Use the Platform to obtain services for stolen, unlawfully possessed, or fraudulently acquired Vehicles, parts, equipment, or property.
• Use the Platform to facilitate fraud, theft, trafficking in stolen property, insurance fraud, title fraud, odometer fraud, money laundering, chargeback abuse, tax evasion, sanctions violations, or other unlawful activity.
• Circumvent, manipulate, interfere with, or avoid MechConnect's payment systems, service fees, commissions, cancellation procedures, or other disclosed charges.
• Use the Platform to establish contact with another User and then cancel, disguise, misclassify, or divert the Transaction outside the Platform for the purpose of depriving MechConnect of fees earned through the Platform.
• Falsely claim that services were not authorized, not provided, or not completed for the purpose of obtaining an improper refund, reversal, credit, chargeback, or financial advantage.
• Falsify estimates, invoices, receipts, part requests, approvals, photographs, inspection reports, repair records, service histories, licenses, certifications, insurance documents, identity documents, or Transaction information.
• Knowingly offer, request, purchase, install, sell, transport, or supply counterfeit, stolen, unlawfully obtained, recalled, prohibited, or fraudulently represented parts or equipment.
• Manipulate reviews, ratings, recommendations, search results, verification badges, completion records, rankings, or other Platform metrics.
• Create, purchase, sell, submit, arrange, or encourage fake reviews or testimonials.
• Submit a review concerning a Transaction in which the reviewer did not participate or experience.
• Offer or accept payment, discounts, refunds, benefits, or other incentives conditioned upon the submission of a positive review, negative review, or predetermined rating.
• Threaten, intimidate, harass, retaliate against, or improperly pressure another User to submit, alter, remove, or refrain from submitting an honest review.
• Fail to clearly disclose a material relationship when submitting Content about a related party where disclosure is required by law.
• Upload, transmit, distribute, or introduce malware, viruses, ransomware, spyware, corrupted files, malicious scripts, or other harmful code.
• Attempt to access another User's account without authorization.
• Attempt to gain unauthorized access to any server, database, API, network, payment system, source code, account, administrative feature, or restricted area of the Platform.
• Interfere with the availability, performance, integrity, safety, or security of the Platform.
• Circumvent authentication measures, access restrictions, rate limits, security controls, payment controls, or technological protection measures.
• Reverse engineer, decompile, disassemble, decode, translate, modify, or otherwise attempt to discover source code, object code, algorithms, trade secrets, or non-public technical information except to the limited extent expressly permitted by applicable law.
• Use bots, crawlers, spiders, scrapers, automated agents, data extraction tools, or similar technologies without MechConnect's prior written authorization.
• Harvest, collect, disclose, sell, or misuse personal information belonging to another User.
• Use Platform Content or data to build, develop, train, test, improve, benchmark, or operate an artificial intelligence system, machine-learning model, large language model, automated decision-making system, competing marketplace, directory, or commercial database without prior written authorization.
• Copy, mirror, frame, reproduce, aggregate, republish, or commercially exploit the Platform or its Content without authorization.
• Post or transmit Content that is knowingly false, defamatory, fraudulent, threatening, harassing, abusive, obscene, hateful, discriminatory, invasive of privacy, unlawful, or intended to cause substantial harm.
• Discriminate against, harass, threaten, intimidate, or retaliate against another User based on any characteristic protected by applicable law.
• Infringe or misappropriate the copyrights, trademarks, patents, trade secrets, publicity rights, privacy rights, contractual rights, or other legal rights of another person.
• Interfere with another User's ability to access or use the Platform.
• Use the Platform in a manner that MechConnect reasonably determines creates an unreasonable safety, legal, financial, security, operational, or reputational risk.
MechConnect may investigate suspected prohibited conduct and may preserve evidence, request documentation, restrict Platform features, delay payments or payouts where legally permitted, remove Content, suspend accounts, terminate accounts, or cooperate with governmental authorities. An investigation or enforcement action by MechConnect does not constitute a legal determination of fault, liability, criminal conduct, negligence, or wrongdoing. Violation of this Section may result in immediate restriction, suspension, or permanent termination of access and may expose the offending User to civil, administrative, or criminal liability.
10. Transactions, Payments, Fees, and Payment Authorization
Payments associated with Transactions may be processed by one or more independent third-party payment processors selected by MechConnect. Payment services may be subject to separate agreements, privacy notices, identity-verification procedures, risk controls, and terms imposed by those payment processors.
By submitting a payment method or authorizing a Transaction, the User represents that they are legally authorized to use the payment method provided and authorizes MechConnect and its designated payment processors to process amounts properly associated with the Transaction.
Subject to applicable law, Users authorize MechConnect and its payment processors to: charge an authorized payment method; collect Platform service fees, payment-processing fees, cancellation fees, taxes, governmental charges, and other amounts disclosed before authorization; place temporary authorization holds; process approved adjustments, credits, reversals, or refunds; divide or route funds between MechConnect, Mechanics, payment processors, tax authorities, and other authorized recipients; recover amounts legitimately owed to MechConnect; correct payment-processing errors; delay, withhold, restrict, or reverse a payment or payout where reasonably necessary to investigate fraud, chargebacks, unauthorized activity, disputed completion, legal violations, sanctions concerns, processor requirements, or violations of these Terms; and request additional identity, tax, banking, or Transaction information where reasonably necessary.
Before submitting a payment, Users are responsible for reviewing all material Transaction information made available through the Platform. A Transaction may involve an initial estimate rather than a guaranteed final price. Additional services, parts, storage, transportation, towing, inspection, diagnostic work, regulatory fees, taxes, or other charges may require additional authorization through the Platform where that functionality is available.
MechConnect does not independently determine whether a Mechanic's price, estimate, labor rate, diagnostic charge, part cost, service recommendation, or other charge is reasonable. Unless otherwise stated, amounts displayed through the Platform are denominated in United States dollars.
MechConnect may modify its Platform fees and fee structure from time to time. Changes will apply prospectively and will be disclosed as required by applicable law. MechConnect does not guarantee that every payment method will be accepted or that every Transaction will be approved. MechConnect is not responsible for delays, interruptions, declines, holds, errors, outages, or failures caused solely by independent payment processors, financial institutions, payment networks, telecommunications providers, or circumstances beyond MechConnect's reasonable control.
11. Transaction Completion, Cancellations, and Fee Circumvention
Transactions initiated through MechConnect must be accurately managed and completed through the Platform's available Transaction-status features. Where the Platform provides a method for indicating that work has started, the Mechanic and Customer agree to ensure that the Transaction status accurately reflects whether authorized services have commenced.
Once authorized work has begun, neither party may falsely cancel, misclassify, conceal, or otherwise alter the Transaction for the purpose of avoiding Platform fees, payment obligations, documentation requirements, or Platform policies. A Transaction shall not be considered completed for Platform-payment, recordkeeping, review, or dispute-tracking purposes until it has been marked completed using the applicable Platform feature or otherwise closed by MechConnect in accordance with its procedures.
Customers and Mechanics may cancel a Transaction only for legitimate reasons, which may include safety concerns, emergency circumstances, mutual agreement, inability to obtain required parts, inaccurate service information, unlawful conditions, technical errors, scheduling problems, or circumstances making performance impracticable. Cancellation may be subject to a disclosed cancellation fee where permitted by applicable law.
MechConnect may review cancellation activity to identify abuse, fraud, repeated abandonment, fabricated Transactions, chargeback manipulation, or fee circumvention. If MechConnect reasonably determines that a Customer and Mechanic used the Platform to locate one another and subsequently canceled or moved the Transaction outside the Platform for the purpose of avoiding fees, MechConnect may charge amounts properly owed where authorized, restrict future access, remove promotional benefits, suspend or terminate involved accounts, and pursue other lawful remedies.
Nothing in this Section prohibits a Mechanic from maintaining an independent business or serving customers obtained independently of MechConnect. The restriction applies only where the Platform facilitated the introduction or Transaction and the parties intentionally divert or misrepresent that Transaction to avoid MechConnect's lawful and properly disclosed fees.
12. Mechanic Verification and Service-Provider Information
To promote trust, safety, and informed decision-making, MechConnect may request or review information submitted by Mechanics. Depending on the service category, location, Vehicle type, and applicable law, requested information may include government-issued identification, business registration records, tax information, professional licenses, occupational licenses, repair-facility registrations, insurance documentation, certifications, manufacturer training, marine credentials, commercial-vehicle qualifications, aviation maintenance credentials, inspection authority, towing permits, environmental permits, photographs, references, or other relevant documentation.
MechConnect may display verification badges, credential descriptions, profile labels, search indicators, or other information based on documentation available at the time of review. Verification is limited to the information and sources reviewed by MechConnect. It is not a continuous governmental license check, criminal-background guarantee, insurance guarantee, technical examination, safety inspection, endorsement, certification of workmanship, warranty of legal compliance, or promise of future conduct.
A verification badge does not establish that a Mechanic: remains licensed, certified, registered, insured, or authorized after verification; possesses every credential required for every service offered; has no criminal, disciplinary, civil, regulatory, or complaint history; is competent to perform a particular service; will complete a Transaction successfully; will comply with every law or agreement; or is an employee, representative, partner, or agent of MechConnect.
Customers remain solely responsible for determining whether a Mechanic possesses qualifications, licensing, insurance, equipment, training, experience, and legal authority appropriate for the requested service. This responsibility is particularly important for regulated or specialized work involving aircraft, marine vessels, commercial vehicles, hazardous systems, structural repairs, safety-critical components, inspections, emissions systems, towing, transportation, and heavy equipment.
Mechanics remain solely responsible for maintaining legally required credentials and for immediately discontinuing any service for which a required authorization has expired, been restricted, suspended, revoked, or otherwise become invalid. MechConnect may deny, modify, suspend, remove, or revoke verification status at any time where reasonably necessary.
13. Reviews, Ratings, and Testimonials
Following a Transaction or other qualifying interaction, Users may be permitted to submit reviews, ratings, photographs, comments, or other feedback. Reviews and ratings must reflect the User's honest opinions and actual experience.
Users agree that reviews, ratings, and testimonials will not: contain knowingly false or materially misleading statements; misrepresent the reviewer's identity or experience; be generated or submitted by a nonexistent person; be purchased, sold, or exchanged for compensation conditioned on a particular sentiment or rating; conceal a material relationship where disclosure is required by law; contain unlawful threats, harassment, discrimination, extortion, private information, or intellectual-property infringement; be used to obtain an improper refund, payment, discount, credit, or other advantage; or be manipulated through duplicate accounts, coordinated activity, automated systems, or other deceptive means.
MechConnect may permit Users to offer a lawful incentive for submitting an honest review only if the incentive is not conditioned upon the review being positive, negative, favorable, or unfavorable and any disclosure required by law is clearly provided. Persons with a material relationship to a reviewed business or User must clearly disclose that relationship where required by law. No User may threaten, intimidate, harass, retaliate against, or make knowingly groundless legal threats against another person for submitting or declining to remove an honest review.
MechConnect reserves the right, but assumes no general obligation, to examine, moderate, restrict, reject, label, move, disable, or remove Content that it reasonably believes violates these Terms, applicable law, Platform integrity standards, or the rights of another person. MechConnect does not guarantee the accuracy, completeness, reliability, fairness, or usefulness of any review, rating, opinion, credential description, or testimonial submitted by a User. Reviews and ratings reflect the opinions and experiences of individual Users. They do not constitute endorsements, warranties, certifications, or guarantees by MechConnect.
14. User Content
Users retain any ownership rights they legally possess in Content submitted to the Platform. By submitting, transmitting, posting, uploading, displaying, or otherwise making Content available through the Platform, each User grants MechConnect a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, format, adapt, translate, display, publish, distribute, transmit, communicate, promote, and otherwise use that Content as reasonably necessary to operate, secure, maintain, administer, analyze, improve, develop, market, and provide the Platform and Services.
This license includes the right to resize, reformat, compress, transcode, organize, moderate, and create technical adaptations of Content necessary to display it across different devices, systems, and Platform features. Except for technical or formatting changes, MechConnect will not materially alter the meaning of a User's review or communication in a deceptive manner. The license granted under this Section does not transfer ownership of User Content to MechConnect.
Each User represents and warrants that: they own the Content or possess all rights and permissions necessary to submit it; submission and use of the Content as permitted by these Terms will not violate any law or right; information presented as factual is not knowingly false or misleading; necessary permission has been obtained from individuals appearing in the Content where required; sensitive materials are submitted only where the User has lawful authority to do so; and the Content does not contain malicious code or intentionally harmful data.
Users are responsible for maintaining independent copies of Content and records they may need for tax, warranty, insurance, licensing, regulatory, business, evidentiary, or legal purposes. MechConnect has no obligation to preserve User Content indefinitely. Content associated with a completed Transaction, fraud investigation, payment dispute, chargeback, accident report, legal claim, regulatory request, or safety complaint may be retained after account closure where permitted or required by law. Publicly displayed Content may remain visible after an account is closed where continued display is lawful and reasonably necessary to preserve marketplace integrity or Transaction history.
15. Vehicle Condition Disclaimer
Customers acknowledge that Vehicles are complex mechanical systems that may contain hidden, latent, progressive, intermittent, undocumented, or otherwise undiscoverable defects that cannot reasonably be identified before inspection, testing, diagnosis, disassembly, or repair. The condition of a Vehicle presented to a Mechanic may differ substantially from the Customer's understanding or description of the problem.
Vehicle-Related Services may reveal additional mechanical, structural, electrical, hydraulic, pneumatic, software, corrosion-related, environmental, or safety-related issues that were not reasonably discoverable before work commenced — including hidden collision damage, structural damage, frame damage, corrosion or rust, saltwater corrosion, flood damage, fire damage, previous improper repairs, unauthorized modifications, poor workmanship by previous service providers, hidden wiring defects, computer software failures, electronic control module failures, hydraulic failures, pneumatic failures, fuel contamination, internal engine damage, internal transmission damage, differential damage, bearing failures, metal fatigue, cracked welds, hidden fatigue cracking, age-related deterioration, manufacturer defects, defective replacement parts, wear not visible during initial inspection, maintenance neglect by previous owners, unknown service history, commercial wear, marine deterioration, aviation maintenance deficiencies, heavy equipment wear, agricultural equipment deterioration, and other latent defects.
Customers acknowledge that discovery of additional issues does not, by itself, indicate negligence, poor workmanship, fraud, or improper conduct by the Mechanic, and that Vehicle-Related Services frequently require additional diagnostics or disassembly before an accurate determination of the Vehicle's condition can reasonably be made. MechConnect does not inspect Vehicles, verify Vehicle conditions, determine the existence of hidden defects, supervise diagnostic procedures, or guarantee that every condition affecting a Vehicle will be discovered.
16. Customer Selection of Mechanics
Every Customer retains complete discretion regarding which independent Mechanic they choose to hire. Mechanics maintain independent businesses and are not employees, agents, representatives, partners, franchisees, or subcontractors of MechConnect.
Customers acknowledge that they are solely responsible for evaluating whether a particular Mechanic is appropriate for the requested Vehicle-Related Services. Before authorizing work, Customers are encouraged to independently consider factors including professional experience, verification status, licensing where applicable, insurance coverage, customer reviews, certifications, specialized training, business reputation, service history, equipment, availability, and any other factors the Customer considers relevant.
Verification badges, profile information, ratings, reviews, certifications, photographs, or other information displayed through the Platform are intended solely to assist Customers in making independent decisions. Nothing displayed on the Platform shall be interpreted as a guarantee, endorsement, recommendation, certification, or warranty by MechConnect regarding the competence, honesty, legality, qualifications, future conduct, or quality of services offered by any Mechanic. Customers assume full responsibility for selecting the Mechanic they choose to engage.
17. Customer Responsibilities
Customers agree to act honestly, professionally, and in good faith throughout every Transaction. Customers remain solely responsible for:
• Providing accurate descriptions of the Vehicle, known symptoms, known defects, previous repairs, warning indicators, modifications, accident history where known, and any other information reasonably necessary for the Mechanic to evaluate the requested work.
• Disclosing conditions that may create safety hazards at the repair location.
• Obtaining permission from the lawful owner before authorizing work if the Customer is not the registered owner of the Vehicle.
• Ensuring that all requested services comply with applicable laws.
• Approving estimates, labor charges, replacement parts, and additional work before authorizing performance where the Platform provides such functionality.
• Inspecting completed work before accepting completion whenever reasonably possible.
• Promptly reporting concerns through the Platform.
• Maintaining insurance coverage that the Customer believes appropriate.
• Removing firearms, controlled substances, valuable jewelry, currency, confidential documents, sensitive electronic equipment, and other valuable personal property before delivering a Vehicle for service.
• Backing up electronic information stored within Vehicle infotainment systems where appropriate.
Customers acknowledge that MechConnect cannot verify whether valuable property has been removed from a Vehicle before repairs begin.
18. Worksite Safety
Customers and Mechanics share responsibility for conducting services only under reasonably safe conditions. Customers remain responsible for providing a reasonably safe environment whenever services are performed at a location selected by the Customer. Mechanics remain responsible for independently evaluating whether conditions permit work to be performed safely.
Neither party shall be required to continue work where doing so would present an unreasonable risk of injury, death, significant property damage, criminal activity, environmental hazards, unlawful conduct, or other unsafe conditions.
MechConnect does not inspect repair locations, supervise working conditions, provide safety equipment, evaluate environmental hazards, or monitor conditions where Vehicle-Related Services are performed. Accordingly, MechConnect assumes no responsibility or liability for injuries, deaths, environmental conditions, weather conditions, criminal acts, traffic conditions, structural failures, unsafe premises, hazardous materials, dangerous animals, inadequate lighting, inadequate ventilation, or other conditions existing at locations where services occur.
19. Estimates, Additional Repairs, and Parts Approval
Customers acknowledge that estimates frequently represent a good-faith approximation based upon information available before inspection or disassembly. The final scope of necessary work may differ from an initial estimate if additional conditions are discovered during diagnosis or repair.
Mechanics are encouraged to notify Customers before performing additional work whenever reasonably practicable. Where the Platform provides electronic approval functionality, Customers shall review and approve additional repairs and replacement parts through the Platform before such work is performed. Customers acknowledge that delaying approval may delay completion of repairs.
Nothing contained within these Terms requires a Mechanic to perform unauthorized work or install replacement parts that have not been approved by the Customer. Likewise, nothing contained herein requires a Customer to approve additional recommendations. Any disagreement concerning diagnoses, pricing, replacement parts, labor charges, warranties, or repair recommendations remains solely between the Customer and the independent Mechanic.
20. Road Testing and Operational Testing
Certain Vehicle-Related Services may reasonably require operation, testing, calibration, inspection, sea trials, taxi tests, functional testing, operational testing, or similar procedures to verify completed work. Customers acknowledge that the type of testing appropriate for a particular Vehicle depends upon the nature of the Vehicle and the services performed.
Whenever reasonably practical, Mechanics are encouraged to discuss proposed testing procedures with Customers before testing occurs. Customers retain the right to approve or decline testing unless such testing is reasonably necessary to verify repairs previously authorized or otherwise permitted by applicable law.
Mechanics remain solely responsible for conducting any testing in accordance with applicable laws, licensing requirements, operating limitations, manufacturer recommendations where appropriate, and accepted industry practices. MechConnect neither supervises nor directs testing procedures and assumes no responsibility for accidents, injuries, citations, property damage, mechanical failures, or other events occurring during testing conducted by independent Mechanics.
21. Disputes Between Customers and Mechanics
Customers acknowledge that every agreement concerning Vehicle-Related Services exists solely between the Customer and the independent Mechanic. MechConnect is not a party to repair contracts, labor agreements, service contracts, warranties, guarantees, estimates, invoices, diagnoses, recommendations, or other agreements entered into between Users.
Accordingly, disputes concerning quality of work, workmanship, diagnoses, delays, pricing, replacement parts, Vehicle damage, property damage, personal injury, financial losses, warranty claims, negligence, professional competence, fraud, contract performance, or other issues arising from Vehicle-Related Services shall remain solely between the Customer and the Mechanic except where applicable law expressly provides otherwise.
Although MechConnect may, in its sole discretion, facilitate communication, collect documentation, preserve records, or investigate violations of Platform policies, MechConnect assumes no legal obligation to resolve disputes, determine fault, provide expert opinions, inspect repairs, compensate either party, or guarantee any outcome. Participation by MechConnect in communications regarding a dispute shall not create any fiduciary duty, agency relationship, legal representation, or assumption of liability.
22. No Warranty Regarding Vehicle-Related Services
MechConnect provides a technology marketplace that facilitates communication and Transactions between independent Users. Accordingly, MechConnect does not manufacture, inspect, test, certify, supervise, monitor, direct, endorse, guarantee, or warrant any Vehicle, Vehicle-Related Service, Mechanic, Customer, estimate, diagnosis, recommendation, repair, maintenance procedure, inspection, installation, modification, restoration, replacement part, towing service, transportation service, marine service, aviation maintenance service, heavy equipment service, or other service offered through the Platform.
Without limiting the foregoing, MechConnect makes no representation or warranty regarding: the qualifications, licensing, certifications, insurance, experience, or competence of any Mechanic; the legality of services offered by independent Users; the quality, safety, completeness, timeliness, or effectiveness of any Vehicle-Related Service; the authenticity or suitability of replacement parts; the condition, roadworthiness, airworthiness, seaworthiness, operational status, or safety of any Vehicle; the accuracy of estimates or diagnoses; the availability of appointments; the completion of requested work; the outcome of any repair; compliance by Users with applicable law; or the future conduct of any User.
All Vehicle-Related Services are provided solely by independent Mechanics. Customers acknowledge that MechConnect cannot and does not guarantee that every repair will correct a Vehicle's condition, prevent future failures, identify every defect, or satisfy every Customer expectation.
23. Platform Disclaimer
THE PLATFORM IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. EXCEPT TO THE EXTENT EXPRESSLY PROVIDED IN WRITING BY MECHCONNECT, THE COMPANY DISCLAIMS ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, AND GUARANTEES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WITHOUT LIMITATION, MECHCONNECT DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; TITLE; NON-INFRINGEMENT; QUIET ENJOYMENT; SYSTEM INTEGRATION; COMPATIBILITY; SECURITY; ACCURACY; RELIABILITY; AVAILABILITY; AND UNINTERRUPTED OPERATION.
MechConnect does not warrant that: the Platform will always be available; the Platform will operate without interruption; communications will always be successfully delivered; every bug or software defect will be corrected; every security vulnerability can be prevented; data loss will never occur; every payment will process successfully; every User will act honestly; every review will be accurate; or every Transaction will be completed. Users acknowledge that use of internet-based services necessarily involves risks beyond MechConnect's reasonable control.
24. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MECHCONNECT, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUCCESSORS, ASSIGNS, LICENSORS, AGENTS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, ENHANCED, OR SIMILAR DAMAGES.
WITHOUT LIMITATION, THIS INCLUDES DAMAGES ARISING FROM: Vehicle damage; property damage; personal injury; death; lost profits; lost revenue; lost business opportunities; loss of goodwill; business interruption; loss of use; data loss; cybersecurity incidents; identity theft; environmental damage; regulatory penalties; government enforcement actions; towing expenses; rental vehicle expenses; storage charges; lost wages; travel expenses; aircraft downtime; marine downtime; commercial fleet downtime; heavy equipment downtime; agricultural equipment downtime; missed deadlines; missed business opportunities; third-party claims; or any other direct or indirect losses arising from or relating to Platform use or Vehicle-Related Services, whether arising under contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if MechConnect has been advised that such damages may occur.
To the fullest extent permitted by law, MechConnect's total cumulative liability arising from any claim relating to the Platform shall not exceed the greater of: (a) One Hundred United States Dollars (US $100); or (b) the total Platform service fees actually received by MechConnect from the specific Transaction giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to liability.
Nothing contained within this Agreement excludes liability that cannot legally be excluded under applicable law.
25. Assumption of Risk
Users acknowledge that Vehicle-Related Services involve inherent risks that cannot be completely eliminated. Such risks may include mechanical failures; structural failures; electrical hazards; hydraulic failures; fuel system failures; fire; explosion; hazardous chemicals; environmental contamination; traffic accidents; aviation incidents; marine incidents; equipment failures; falling objects; vehicle movement; lifting accidents; severe bodily injury; permanent disability; death; and significant property damage.
Each User voluntarily assumes all risks associated with using the Platform and participating in Transactions with independent Users. Customers further acknowledge that they independently determine whether to authorize work. Mechanics independently determine whether to perform work. MechConnect neither controls nor assumes responsibility for those independent decisions.
26. Release of Claims Between Users
To the fullest extent permitted by applicable law, Customers and Mechanics release MechConnect from claims arising solely from disputes between independent Users. This release includes disputes involving repair quality; professional judgment; pricing; estimates; labor charges; replacement parts; delays; scheduling; workmanship; warranties; property damage; Vehicle damage; personal injury; financial losses; business interruption; payment disputes; customer reviews; communications; misrepresentations by independent Users; and other matters arising directly from Transactions between independent Users.
Nothing contained within this Section shall release MechConnect from liability that cannot legally be waived under applicable law.
27. Indemnification
To the fullest extent permitted by applicable law, every User agrees to defend, indemnify, and hold harmless MechConnect, its owners, officers, directors, employees, contractors, affiliates, licensors, successors, assigns, agents, and representatives from and against any claim, demand, lawsuit, arbitration, governmental investigation, regulatory proceeding, administrative action, judgment, settlement, damage, loss, liability, penalty, fine, cost, or expense, including reasonable attorneys' fees, arising from or relating to: the User's use of the Platform; any Transaction involving the User; services performed or requested by the User; violations of these Terms; violations of applicable law; User Content; fraud; negligence; misconduct; intellectual property infringement; privacy violations; environmental violations; tax obligations; regulatory violations; claims brought by third parties; or operation of the User's independent business.
MechConnect reserves the right to assume exclusive control of the defense of any matter subject to indemnification. The User agrees to cooperate fully with MechConnect in defending such claims. Nothing contained herein requires a User to indemnify MechConnect for liability arising solely from MechConnect's own gross negligence, willful misconduct, fraud, or other liability that cannot legally be shifted under applicable law.
28. Force Majeure
MechConnect shall not be liable for any delay, interruption, suspension, degradation of service, or failure to perform resulting from circumstances beyond its reasonable control — including natural disasters, hurricanes, floods, tornadoes, earthquakes, fires, pandemics, epidemics, acts of God, terrorism, war, civil unrest, labor disputes, internet outages, telecommunications failures, cybersecurity incidents, denial-of-service attacks, software failures, hardware failures, cloud-service interruptions, utility failures, payment processor outages, governmental actions, sanctions, embargoes, changes in law, transportation interruptions, supply-chain disruptions, shortages of labor or materials, or any other event beyond MechConnect's reasonable control.
During any Force Majeure event, MechConnect may suspend, restrict, modify, or discontinue portions of the Platform as reasonably necessary until normal operations can safely resume.
29. Artificial Intelligence and Automated Features
To improve the Platform, MechConnect may utilize artificial intelligence ("AI"), machine learning systems, automated decision-support tools, algorithms, predictive technologies, recommendation engines, natural language processing systems, image recognition technologies, fraud detection systems, automated moderation systems, translation services, scheduling tools, or other automated technologies (collectively, "AI Features").
AI Features may be used for purposes including matching Customers with Mechanics; organizing search results; detecting fraudulent activity; identifying suspicious Transactions; assisting customer support; translating communications; summarizing conversations; suggesting appointments; suggesting maintenance schedules; processing uploaded photographs; organizing repair documentation; improving Platform security; detecting abuse; identifying counterfeit listings; improving search functionality; generating educational information; and other operational or informational purposes.
Users acknowledge that AI systems may generate inaccurate, incomplete, outdated, or incorrect information. AI-generated information shall not be interpreted as professional automotive, mechanical, engineering, aviation maintenance, marine repair, legal, financial, or insurance advice; safety certification; repair instructions; a guarantee of repair outcomes; or a substitute for independent professional judgment.
Users remain solely responsible for independently evaluating all AI-generated information before relying upon it. Neither Customers nor Mechanics may rely exclusively upon AI-generated information when making decisions involving safety-critical repairs, regulatory compliance, aircraft maintenance, marine operations, commercial transportation, hazardous systems, or other matters where professional judgment is required. MechConnect reserves the right to modify, improve, suspend, discontinue, retrain, replace, or remove AI Features at any time without liability.
30. Platform Availability, Maintenance, and Updates
MechConnect continually develops and improves the Platform. Accordingly, the Company may, at any time and without prior notice where permitted by law: add new features; remove existing features; modify Platform functionality; perform scheduled or emergency maintenance; install security updates; improve software performance; correct software defects; modify user interfaces; introduce new technologies; retire outdated technologies; or suspend portions of the Platform.
Temporary interruptions may occur because of maintenance, software updates, security incidents, internet outages, payment processor interruptions, cloud service failures, or other circumstances beyond MechConnect's reasonable control. MechConnect does not guarantee uninterrupted access to the Platform. Users acknowledge that temporary downtime is a normal aspect of internet-based services.
31. Third-Party Services and Integrations
The Platform may integrate with or provide access to independent third-party services, including payment processors, mapping providers, navigation services, messaging providers, identity verification providers, cloud hosting providers, insurance verification providers, governmental databases, software vendors, analytics providers, artificial intelligence providers, advertising providers, and other third-party technologies.
These third-party services operate independently from MechConnect. MechConnect neither owns nor controls such third-party services and makes no representation regarding their availability, accuracy, security, legality, reliability, or performance. Users acknowledge that use of third-party services may be governed by separate agreements between the User and the third-party provider. MechConnect shall not be responsible for acts, omissions, interruptions, errors, delays, security incidents, data loss, payment failures, or other issues arising solely from third-party services beyond MechConnect's reasonable control.
32. Beta Features
From time to time, MechConnect may make available experimental, preview, early-access, pilot, or beta features ("Beta Features"). Beta Features are provided solely for evaluation and testing purposes. Users acknowledge that Beta Features may contain software defects; operate unpredictably; produce inaccurate results; change substantially; become discontinued; or become unavailable without notice. Accordingly, Beta Features are provided "AS IS" without warranties of any kind. Users assume all risks associated with voluntary participation in Beta Features.
33. Intellectual Property
The Platform and all intellectual property associated with MechConnect remain the exclusive property of MechConnect and its licensors. This includes software; source code; object code; algorithms; databases; user interfaces; designs; graphics; icons; logos; trademarks; service marks; trade dress; business methods; documentation; artificial intelligence models developed by or for MechConnect; search algorithms; recommendation systems; text; audio; video; photographs; marketing materials; domain names; APIs; and other proprietary technology.
Nothing contained within these Terms transfers ownership of any MechConnect intellectual property to any User. Except where expressly permitted by law or authorized in writing by MechConnect, Users shall not copy, modify, reverse engineer, decompile, disassemble, reproduce, sell, license, lease, redistribute, commercially exploit, or create derivative works based upon any portion of the Platform.
34. User Suggestions and Feedback
If a User voluntarily submits ideas, recommendations, feature requests, improvements, comments, business proposals, software concepts, product suggestions, designs, inventions, documentation, workflows, or other feedback ("Feedback"), the User acknowledges that MechConnect may use, modify, publish, distribute, commercialize, license, reproduce, incorporate, or otherwise exploit the Feedback without restriction.
The User is not entitled to compensation, royalties, ownership rights, attribution, licensing fees, reimbursement, or any other payment arising from MechConnect's use of Feedback. Submission of Feedback does not create any confidential relationship, partnership, fiduciary relationship, joint venture, or obligation for MechConnect to review, implement, or respond to the submission.
35. Export Controls and Sanctions
Users agree to comply with all applicable export control laws, trade restrictions, sanctions programs, embargoes, and governmental regulations applicable to their use of the Platform. Users represent that they are not prohibited from using the Platform under applicable sanctions administered by the United States Government or other governmental authorities having jurisdiction. Users further agree not to use the Platform in connection with any activity prohibited by applicable export control or sanctions laws. MechConnect reserves the right to suspend or terminate access where reasonably necessary to comply with applicable legal obligations.
36. Copyright Policy and Intellectual Property Complaints (DMCA)
MechConnect respects the intellectual property rights of others and expects every User to do the same. Each User represents and warrants that they possess all rights, licenses, permissions, and legal authority necessary to upload, transmit, publish, or otherwise make Content available through the Platform. Users shall not knowingly upload, distribute, transmit, reproduce, display, or otherwise use any copyrighted work, trademark, logo, photograph, video, software, documentation, design, manual, trade secret, or other protected intellectual property without authorization from the lawful owner or another valid legal basis.
If MechConnect receives a good-faith allegation that Content infringes the intellectual property rights of another person, MechConnect may, in its sole discretion and without admitting liability: remove or disable access to the allegedly infringing Content; request additional documentation; temporarily suspend access to affected Platform features; preserve relevant records; notify the affected User where appropriate; cooperate with lawful governmental requests; or take any other action reasonably necessary to comply with applicable intellectual property laws.
Users who repeatedly infringe the intellectual property rights of others may have their accounts suspended or permanently terminated. MechConnect reserves all rights available under applicable copyright laws, including the Digital Millennium Copyright Act ("DMCA").
37. Notice of Claimed Copyright Infringement
If you believe that material available through the Platform infringes your copyright, you may submit a written copyright notice to MechConnect's designated Copyright Agent. Your notice should include, where applicable: identification of the copyrighted work claimed to have been infringed; identification of the allegedly infringing material sufficient to permit MechConnect to locate it; your name, mailing address, telephone number, and email address; a statement that you possess a good-faith belief that the disputed use has not been authorized by the copyright owner, its agent, or applicable law; a statement, made under penalty of perjury where required by law, that the information contained within the notice is accurate and that you are authorized to act on behalf of the copyright owner; and your physical or electronic signature.
MechConnect may request additional information before acting upon any notice. Submission of an incomplete or fraudulent notice may delay processing and may expose the submitting party to legal liability under applicable law.
38. Mobile Application Distribution
The MechConnect Platform may be distributed through one or more third-party application marketplaces, software stores, websites, or digital distribution platforms. Users acknowledge that such third-party distributors operate independently from MechConnect. Nothing contained within these Terms creates any partnership, agency relationship, employment relationship, joint venture, or legal responsibility between MechConnect and any third-party application marketplace.
Third-party marketplaces are not responsible for Platform operation; Vehicle-Related Services; Transactions; repairs; customer support; payment disputes; user conduct; warranty claims; product liability claims; maintenance obligations; or legal disputes arising between Users. Users acknowledge that use of third-party marketplaces may also be governed by separate agreements between the User and the applicable marketplace.
39. Apple App Store Additional Terms
If the Platform is downloaded through Apple's App Store, Users acknowledge that: these Terms are entered into solely between the User and MechConnect; Apple Inc. and its affiliates are not parties to these Terms; and Apple has no responsibility for the Platform, its content, maintenance, support services, warranty obligations, product claims, legal compliance, intellectual property claims, or disputes arising from use of the Platform except as required under applicable law.
Users acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce applicable provisions where permitted under the Apple Media Services Terms and Conditions and applicable law. Nothing contained within this Agreement limits any non-waivable rights provided by Apple's mandatory developer requirements or applicable law.
40. Google Play Additional Terms
If the Platform is downloaded through Google Play, Users acknowledge that: these Terms are entered into solely between the User and MechConnect; Google LLC and its affiliates are not parties to these Terms; and Google assumes no responsibility for Platform operation; Vehicle-Related Services; Transactions; user conduct; customer support; repairs; maintenance; warranty claims; product liability claims; payment disputes; or legal claims arising from Platform use, except where required by applicable law or Google's mandatory developer policies.
41. Communications and Electronic Notices
By creating an account or otherwise using the Platform, Users consent to receive communications electronically — including account notifications; verification requests; security alerts; appointment notifications; payment confirmations; receipts; legal notices; policy updates; Platform announcements; customer support communications; marketing communications where permitted by applicable law and User preferences; fraud alerts; safety notifications; and other communications relating to Platform operations.
Users remain responsible for maintaining current email addresses, telephone numbers, mailing addresses, and other contact information associated with their accounts. Electronic communications shall satisfy any legal requirement that communications be provided in writing to the fullest extent permitted by applicable law. Nothing contained within this Section limits a User's ability to exercise communication preferences or opt-out rights where required by applicable law.
42. Platform Security
MechConnect implements reasonable administrative, technical, organizational, and physical safeguards designed to help protect Platform information and maintain the integrity of Platform operations. However, Users acknowledge that no software application, internet service, cloud provider, payment system, communication network, database, or cybersecurity program can guarantee absolute security.
Users share responsibility for maintaining Platform security by protecting account credentials; using strong passwords; enabling available security features; promptly reporting suspected unauthorized access; maintaining updated software on their devices; and exercising reasonable caution when communicating online. Nothing contained within this Agreement shall be interpreted as guaranteeing complete protection against all cybersecurity threats.
43. Vehicle Categories and Regulatory Compliance
MechConnect is designed to facilitate Vehicle-Related Services involving numerous categories of transportation equipment. Different categories of Vehicles are governed by different federal, state, local, tribal, territorial, and international laws, regulations, licensing requirements, inspection standards, environmental requirements, operational restrictions, insurance requirements, and safety regulations.
Each User remains solely responsible for determining which laws, regulations, inspections, certifications, permits, licenses, registrations, operational limitations, environmental requirements, insurance requirements, and governmental approvals apply to their specific Vehicle and the services requested or performed. Without limitation, this responsibility may include compliance with requirements imposed by agencies such as the Federal Aviation Administration (FAA); the United States Coast Guard (USCG); the Federal Motor Carrier Safety Administration (FMCSA); the Environmental Protection Agency (EPA); the Occupational Safety and Health Administration (OSHA); state departments of transportation; state licensing authorities; environmental agencies; local governmental authorities; and other governmental or regulatory bodies having jurisdiction.
MechConnect does not determine which regulatory requirements apply to a particular Transaction and does not verify ongoing regulatory, licensing, environmental, inspection, operational, certification, or legal compliance by any User. Compliance with all applicable laws remains solely the responsibility of the independent Customer and the independent Mechanic.
44. No Fiduciary Relationship
Nothing contained within these Terms, the Platform, any communication, any Transaction, any payment, any review, any recommendation, any verification program, or any other interaction shall be interpreted as creating a fiduciary relationship between MechConnect and any User.
MechConnect does not act as a legal representative; financial advisor; insurance advisor; professional engineer; automotive consultant; aviation consultant; marine consultant; transportation consultant; repair supervisor; safety inspector; claims adjuster; escrow agent; trustee; broker; employer; partner; joint venturer; franchisee; franchise holder; agent; or fiduciary.
Users remain solely responsible for exercising independent judgment regarding every decision made through the Platform.
45. Insurance Disclaimer
MechConnect strongly encourages both Customers and Mechanics to maintain insurance coverage appropriate for their individual circumstances. However, MechConnect does not sell insurance; provide insurance; guarantee insurance coverage; verify continuing insurance coverage; determine insurance adequacy; interpret insurance policies; adjust insurance claims; or represent any insurance carrier.
Users remain solely responsible for determining whether they possess insurance coverage appropriate for their activities. Nothing contained within these Terms shall be interpreted as creating insurance coverage where none exists or as guaranteeing that a particular claim will be covered under any insurance policy.
46. Taxes
Each User remains solely responsible for complying with all tax obligations arising from Platform use. Mechanics remain solely responsible for reporting business income, collecting and remitting applicable taxes, maintaining business records, filing required tax returns, obtaining tax registrations, and complying with all federal, state, local, and international tax laws applicable to their businesses.
Customers remain solely responsible for any taxes legally imposed upon purchases or Transactions for which they are responsible under applicable law. Nothing contained within these Terms shall be interpreted as creating an employment relationship requiring MechConnect to withhold payroll taxes or provide employee tax reporting except where required by applicable law.
47. No Guarantee of Business Opportunities
Mechanics acknowledge that registration on the Platform does not guarantee work opportunities, income, Customers, appointment requests, visibility within search results, Platform rankings, verification status, marketing exposure, profitability, business growth, or continued access to the Platform. Search rankings, recommendations, visibility, promotional opportunities, and other Platform features may change over time based upon numerous factors determined by MechConnect.
Likewise, Customers acknowledge that MechConnect does not guarantee the availability of Mechanics within any geographic area, service category, Vehicle category, emergency response time, appointment availability, pricing, or repair completion timeline.
48. Geographic Availability
Platform availability may vary depending upon geographic location, applicable law, Vehicle category, service category, governmental restrictions, licensing requirements, technical limitations, or other operational considerations. Certain Platform features, payment methods, verification programs, Vehicle categories, or services may not be available in every jurisdiction.
MechConnect reserves the right to modify, suspend, restrict, or discontinue availability of particular services, Vehicle categories, geographic regions, or Platform functionality at any time where reasonably necessary for legal, operational, technical, security, or business reasons.
49. Reservation of Rights
Except for the limited rights expressly granted under these Terms, MechConnect reserves every right, title, and interest relating to the Platform. Without limitation, MechConnect reserves the right to: modify the Platform; introduce new technologies; expand supported Vehicle categories; expand supported service categories; introduce new verification programs; modify payment procedures; improve fraud prevention systems; improve artificial intelligence features; modify search algorithms; modify recommendation systems; change Platform functionality; develop additional software; suspend services; remove Users; investigate suspected misconduct; cooperate with governmental authorities; and exercise any other rights available under applicable law.
Failure by MechConnect to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights available to the Company. No waiver shall be effective unless expressly made in writing by an authorized representative of MechConnect.
50. Consumer Protection and State Law Compliance
MechConnect intends for these Terms to be interpreted and enforced to the fullest extent permitted by applicable law. Nothing contained within these Terms is intended to limit, waive, or eliminate any legal right, protection, remedy, disclosure, or obligation that cannot lawfully be waived under applicable federal, state, territorial, tribal, or local law.
Where applicable law grants a User mandatory rights that conflict with a provision of these Terms, such mandatory rights shall control only to the extent required by law, and the remaining provisions of these Terms shall remain in full force and effect. Each User remains solely responsible for understanding and complying with laws applicable to that User's own activities.
51. Governing Law
Except where prohibited by applicable law, these Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict-of-law principles. Nothing contained within this Section shall deprive a User of any mandatory legal protections that cannot lawfully be waived under applicable law.
52. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
To the fullest extent permitted by applicable law, any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, a User's account, Platform Content, Transactions, Vehicle-Related Services, or the relationship between the User and MechConnect shall first be submitted to informal dispute resolution. A party initiating a dispute shall provide written notice describing the nature of the dispute and the relief requested. The parties agree to make a good-faith effort to resolve the dispute informally for at least thirty (30) days before initiating arbitration or litigation, unless emergency injunctive relief is reasonably necessary.
If the dispute cannot be resolved informally, it shall be resolved through binding arbitration administered by a nationally recognized arbitration provider selected by MechConnect, unless applicable law prohibits mandatory arbitration. The arbitration shall be conducted by a single neutral arbitrator. The arbitrator shall possess authority to award any remedy available under applicable law, but only to the extent required by law. The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration provision where applicable.
Nothing contained within this Section prevents either party from seeking temporary injunctive relief, protecting intellectual property rights, pursuing small claims matters where permitted, or exercising rights that applicable law prohibits from being submitted to arbitration.
53. Class Action Waiver
To the fullest extent permitted by applicable law, each User agrees that disputes with MechConnect shall be brought solely in an individual capacity. Users waive any right to participate as a plaintiff, claimant, representative, or class member in any class action, collective action, representative action, consolidated proceeding, mass arbitration, or similar proceeding against MechConnect, except where such waiver is prohibited by applicable law.
If a court determines that this waiver is unenforceable with respect to a particular claim, only that claim shall proceed as required by law, and all remaining provisions of these Terms shall remain enforceable.
54. Assignment
Users may not assign, delegate, transfer, sublicense, sell, pledge, or otherwise transfer any rights or obligations arising under these Terms without the prior written consent of MechConnect. MechConnect may assign, transfer, delegate, merge, reorganize, sell, or otherwise transfer its rights or obligations under these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, corporate reorganization, bankruptcy, or other legitimate business transaction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
55. Severability
If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be interpreted and modified only to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect and shall remain fully enforceable.
56. No Waiver
Failure by MechConnect to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right available under these Terms or applicable law. No waiver shall be effective unless expressly made in writing and signed by an authorized representative of MechConnect. A single waiver shall not constitute a continuing waiver of any subsequent breach.
57. Entire Agreement
These Terms, together with the Privacy Policy, End User License Agreement (EULA), Mechanic User Agreement, Customer User Agreement, Community Guidelines, Payment Policies, and any additional agreements or policies expressly incorporated by reference, constitute the complete and exclusive agreement between MechConnect and every User regarding use of the Platform. These documents supersede all prior oral or written understandings concerning the Platform. Nothing contained within these Terms limits any additional obligations accepted by a User through separate written agreements with MechConnect.

59. Acknowledgement
BY ACCESSING, DOWNLOADING, INSTALLING, REGISTERING FOR, OR OTHERWISE USING THE PLATFORM, EACH USER ACKNOWLEDGES THAT THEY HAVE READ THESE TERMS IN THEIR ENTIRETY, UNDERSTAND THEM, AND AGREE TO BE LEGALLY BOUND BY THEM.
IF A USER DOES NOT AGREE TO THESE TERMS, THE USER MUST IMMEDIATELY DISCONTINUE USE OF THE PLATFORM.
THE USER FURTHER ACKNOWLEDGES THAT THESE TERMS, TOGETHER WITH THE PRIVACY POLICY, END USER LICENSE AGREEMENT (EULA), MECHANIC USER AGREEMENT, CUSTOMER USER AGREEMENT, AND OTHER INCORPORATED POLICIES, GOVERN THE USER'S ACCESS TO AND USE OF THE MECHCONNECT PLATFORM.
1. Introduction
This End User License Agreement ("EULA" or "Agreement") is a legally binding agreement between MechConnect and every individual or legal entity that downloads, installs, accesses, or uses the MechConnect mobile application, website, software, APIs, or related software components (collectively, the "Software").
This Agreement governs your license to use the Software itself. It is separate from, and supplements, the MechConnect Terms and Conditions, Privacy Policy, Mechanic User Agreement, Customer User Agreement, and any additional policies incorporated by reference.
By downloading, installing, accessing, updating, registering for, or otherwise using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be legally bound by every provision contained herein. If you do not agree to this Agreement, you may not install, access, or continue using the Software.
2. Relationship to Other Agreements
This EULA governs only your license to use the MechConnect Software. Your use of the Platform, Vehicle-Related Services, payment processing, communications, Customer accounts, Mechanic accounts, privacy rights, and other Platform activities remain governed by the MechConnect Terms and Conditions and other applicable agreements.
In the event of a conflict concerning software licensing, this EULA shall govern that licensing issue. In all other respects, the MechConnect Terms and Conditions shall control unless this Agreement expressly provides otherwise.
3. Limited License Grant
Subject to your continued compliance with this Agreement and all other applicable MechConnect policies, MechConnect grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to: download the Software; install the Software on compatible devices that you own or lawfully control; access the Software through authorized distribution channels; use the Software solely for its intended purposes; and receive updates made available by MechConnect at its discretion.
This license is granted solely for your personal or internal business use in connection with the MechConnect Platform. No ownership interest in the Software is transferred to you. Except for the limited license expressly granted herein, MechConnect reserves all rights not expressly granted.
4. Ownership
The Software is licensed — not sold. The Software, together with all associated intellectual property, remains the exclusive property of MechConnect and its licensors.
Ownership includes, without limitation: source code; object code; databases; user interfaces; user experience designs; algorithms; matching systems; search systems; artificial intelligence systems; machine learning models; fraud-prevention systems; verification systems; security systems; APIs; documentation; graphics; icons; logos; animations; sounds; text; branding; trade dress; trademarks; service marks; copyrights; trade secrets; business methods; software architecture; future software updates; future Platform functionality; and all related intellectual property rights.
Nothing contained within this Agreement transfers ownership of any MechConnect intellectual property.
5. Software Security
You agree that you shall not directly or indirectly: reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the Software's source code except to the extent such restrictions cannot lawfully be enforced; circumvent or attempt to circumvent authentication, authorization, licensing, encryption, digital rights management, or security controls; probe, scan, or test the vulnerability of the Software, servers, APIs, databases, or supporting infrastructure without MechConnect's prior written authorization; conduct penetration testing, fuzz testing, stress testing, or security testing against the Platform unless expressly authorized in writing; introduce malware, ransomware, spyware, trojans, worms, logic bombs, malicious scripts, or other harmful code; attempt SQL injection, command injection, cross-site scripting, request forgery, privilege escalation, or other exploitation techniques; intercept, monitor, manipulate, replay, or tamper with network communications or API traffic; use bots, automated scripts, crawlers, scrapers, or similar technologies to access the Software except where expressly authorized; attempt credential stuffing, password spraying, brute-force attacks, session hijacking, token theft, or unauthorized account access; use modified applications, emulators, rooted devices, jailbroken devices, unauthorized debugging tools, or similar technologies to bypass Software protections where such use compromises Platform security; attempt to interfere with the availability, integrity, confidentiality, or performance of the Software; or encourage, assist, or permit another person to engage in any of the prohibited activities described above.
Nothing in this Section prohibits good-faith security research conducted with MechConnect's prior written authorization or activities that cannot lawfully be restricted under applicable law. MechConnect reserves the right to investigate suspected security incidents, preserve evidence, suspend access, cooperate with law enforcement, pursue available contractual remedies, and exercise any other rights permitted under applicable law.
6. Authorized Distribution
The Software may only be downloaded, installed, or accessed through distribution channels authorized by MechConnect. Unauthorized copies, modified versions, repackaged applications, or Software obtained from unofficial sources may expose Users to security risks and may not function correctly. MechConnect makes no representation regarding the safety, authenticity, or functionality of Software obtained from unauthorized sources. Use of unauthorized versions may result in suspension or termination of your license.
7. Restrictions on Use
Except as expressly permitted by this Agreement or applicable law, you shall not, and shall not permit any third party to: copy, reproduce, duplicate, distribute, lease, rent, sublicense, sell, assign, or otherwise transfer the Software; modify, adapt, translate, create derivative works from, or otherwise alter the Software; reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to discover the source code, object code, architecture, algorithms, or underlying ideas of the Software, except where such restrictions cannot legally be enforced; remove, alter, obscure, or disable copyright notices, trademarks, watermarks, or other proprietary notices; use the Software in any manner that violates applicable law or infringes the rights of another person or entity; use the Software to develop, benchmark, test, improve, or market a competing product or service; circumvent technical limitations, usage restrictions, licensing controls, or security features; resell, white-label, mirror, frame, or publicly display the Software without prior written consent; or use the Software for any purpose not expressly authorized by this Agreement.
8. Artificial Intelligence, Automated Access, and Data Extraction
Unless expressly authorized in writing by MechConnect, you shall not use the Software, Platform, or any data obtained from the Platform to: train, fine-tune, evaluate, benchmark, or improve artificial intelligence, machine learning, large language models, neural networks, recommendation systems, or similar technologies; create datasets for AI or automated decision-making systems; harvest Mechanic profiles, Customer profiles, reviews, ratings, photographs, pricing information, availability data, geographic information, communications, or other Platform content in bulk; perform automated scraping, crawling, indexing, or systematic extraction of Platform data; use bots, scripts, browser automation tools, robotic process automation, or other automated technologies to collect information from the Platform; build, replicate, or support a competing marketplace, search engine, directory, recommendation engine, or database using information obtained from the Platform; analyze Platform data to reverse engineer MechConnect's proprietary technologies; use Platform content to generate synthetic datasets, derivative databases, or commercial information products; or facilitate any other person's violation of this Section.
Incidental caching or indexing performed by ordinary web browsers or by search engines operating with MechConnect's authorization is not prohibited.
9. APIs and Integrations
If MechConnect makes APIs, SDKs, integrations, plugins, or developer tools available, your use of those resources shall remain subject to this Agreement and any additional developer documentation or licensing terms provided by MechConnect.
Unless expressly authorized in writing, you shall not: exceed published rate limits; circumvent authentication requirements; share API credentials with unauthorized persons; use APIs for unlawful surveillance or monitoring; attempt unauthorized access to private endpoints; republish API responses except as expressly permitted; use APIs in a manner that degrades Platform performance; misrepresent the source of Platform data; or use APIs to create products or services that compete with MechConnect.
MechConnect may modify, suspend, limit, revoke, or discontinue APIs or developer access at any time, with or without notice, subject to applicable law.
10. Third-Party Software and Services
The Software may incorporate or interact with products and services provided by third parties, including Apple; Google; payment processors; mapping providers; cloud hosting providers; authentication providers; analytics services; push notification services; crash reporting tools; identity verification providers; artificial intelligence services; and other technology vendors.
Such third-party products and services are governed by their respective terms, conditions, and privacy policies. MechConnect does not control and is not responsible for the availability, functionality, security, accuracy, or performance of third-party software or services. Your use of third-party services is solely at your own risk.
11. Open Source Software
Certain components of the Software may include open-source software distributed under separate license terms. Nothing contained within this Agreement is intended to limit or replace any rights granted under applicable open-source licenses. Where an open-source license requires different terms, the applicable open-source license shall control solely with respect to that specific component.
12. Software Updates
MechConnect may release updates, upgrades, enhancements, bug fixes, security patches, performance improvements, feature modifications, or other changes to the Software at any time. Updates may add new functionality; remove existing functionality; modify user interfaces; improve security; correct software defects; change compatibility requirements; introduce new technical limitations; or require acceptance of revised legal agreements.
Certain updates may be installed automatically where permitted by your device settings and applicable law. MechConnect does not guarantee that older versions of the Software will remain supported, compatible, or operational after newer versions become available. Continued use of the Software following an update constitutes acceptance of the updated Software.
13. Beta Features and Experimental Functionality
From time to time, MechConnect may make available beta features, early-access functionality, pilot programs, artificial intelligence tools, experimental features, or other pre-release software (collectively, "Beta Features"). Beta Features are provided for testing, evaluation, and feedback purposes and may contain bugs, defects, security vulnerabilities, inaccuracies, interruptions, compatibility issues, or incomplete functionality.
Use of Beta Features is entirely voluntary. To the fullest extent permitted by applicable law, Beta Features are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Nothing in this Agreement obligates MechConnect to continue supporting, maintaining, or releasing any Beta Feature.
14. Device Compatibility
The Software is designed to operate on supported devices and operating systems that satisfy MechConnect's published technical requirements. MechConnect does not guarantee that the Software will operate properly on unsupported devices; outdated operating systems; modified operating systems; rooted devices; jailbroken devices; devices using unofficial firmware; emulators; virtual machines; devices with altered security protections; or devices that fail to meet minimum hardware or software requirements.
You remain responsible for maintaining compatible hardware, software, internet connectivity, and sufficient device resources necessary to use the Software.
15. Availability of the Software
MechConnect strives to provide reliable access to the Software but does not guarantee uninterrupted availability. Access to the Software may be interrupted, delayed, degraded, suspended, or unavailable due to scheduled maintenance; emergency maintenance; security incidents; cybersecurity threats; internet outages; cloud infrastructure failures; power failures; third-party service interruptions; device failures; network congestion; government actions; natural disasters; force majeure events; or other events beyond MechConnect's reasonable control.
Temporary interruptions shall not constitute a breach of this Agreement.
16. Software Warranty Disclaimer
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS," "AS AVAILABLE," "WITH ALL FAULTS," AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MECHCONNECT EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; TITLE; NON-INFRINGEMENT; ACCURACY; RELIABILITY; SECURITY; QUIET ENJOYMENT; SATISFACTORY QUALITY; AND UNINTERRUPTED OPERATION.
WITHOUT LIMITING THE FOREGOING, MECHCONNECT DOES NOT WARRANT THAT THE SOFTWARE WILL: operate without interruption; be error-free; be completely secure; detect every instance of fraud; prevent unauthorized access; be compatible with every device; meet every User's expectations; operate without bugs; be free from viruses or other harmful components; preserve data without interruption; deliver notifications without delay; accurately determine geographic locations; remain continuously available; or produce uninterrupted access to Platform services.
NO ORAL OR WRITTEN INFORMATION PROVIDED BY MECHCONNECT OR ANY THIRD PARTY SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. NOTHING IN THIS SECTION LIMITS WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED UNDER APPLICABLE LAW.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MECHCONNECT, ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SUCCESSORS, ASSIGNS, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SOFTWARE — including software crashes; application freezes; software defects; programming errors; data corruption; data loss; notification failures; delayed notifications; GPS inaccuracies; mapping inaccuracies; synchronization failures; server outages; cloud failures; internet interruptions; device failures; battery consumption; hardware incompatibility; operating system incompatibility; third-party software failures; cybersecurity incidents not resulting from MechConnect's own legally actionable misconduct; temporary loss of Platform functionality; lost profits; lost business opportunities; loss of goodwill; business interruption; or other indirect or consequential damages.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IF MECHCONNECT IS FOUND LIABLE FOR A CLAIM ARISING OUT OF THIS EULA, MECHCONNECT'S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: THE TOTAL AMOUNT PAID BY YOU DIRECTLY TO MECHCONNECT FOR USE OF THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR ONE HUNDRED UNITED STATES DOLLARS (US $100).
THIS LIMITATION DOES NOT APPLY WHERE PROHIBITED BY APPLICABLE LAW OR TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
18. Export Control and Sanctions Compliance
You represent and warrant that: you are not located in, ordinarily resident in, or accessing the Software from a jurisdiction subject to comprehensive trade embargoes or restrictions applicable to MechConnect; you are not identified on any applicable government restricted-party list that would prohibit MechConnect from lawfully providing the Software to you; and your use of the Software will comply with applicable export control, sanctions, and trade laws.
You shall not use, export, re-export, transfer, or otherwise make the Software available in violation of applicable export control or sanctions laws.
19. Suspension and Revocation of License
The license granted under this Agreement automatically terminates if you materially violate this Agreement or other applicable MechConnect policies. Additionally, MechConnect may suspend or revoke your license where reasonably necessary to: protect Platform security; prevent fraud; address intellectual property violations; respond to legal obligations; investigate suspected misconduct; protect other Users; preserve Platform integrity; or comply with court orders or governmental requests.
Upon termination or revocation of your license, you must immediately cease using the Software. Termination does not automatically eliminate obligations that, by their nature, survive termination.
20. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MechConnect, its parent companies, subsidiaries, affiliates, licensors, service providers, payment processors, cloud providers, owners, officers, directors, employees, contractors, successors, assigns, agents, and representatives from and against any claims, demands, lawsuits, arbitrations, investigations, regulatory proceedings, judgments, settlements, damages, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: your use or misuse of the Software; your violation of this Agreement or any other MechConnect agreement or policy; your violation of applicable law; your infringement or misappropriation of another person's intellectual property rights; unauthorized access to or misuse of the Platform through your account resulting from your failure to maintain reasonable account security; fraudulent conduct; security attacks initiated by you or on your behalf; automated scraping or unauthorized data collection; unauthorized API use; Content submitted through your account; your negligent or intentional misconduct; or your independent acts or omissions.
Nothing in this Section requires you to indemnify MechConnect for liability arising solely from MechConnect's own gross negligence, willful misconduct, fraud, or other liability that cannot legally be shifted under applicable law.
21. Changes to the Software
MechConnect may, at any time and in its sole discretion, subject to applicable law: add new features; remove existing features; modify functionality; change user interfaces; improve security measures; introduce artificial intelligence features; retire legacy functionality; modify supported devices or operating systems; change technical requirements; introduce new licensing requirements; or discontinue portions of the Software.
You acknowledge that software evolution is an expected part of using cloud-based applications and that MechConnect is not obligated to preserve every feature, interface, workflow, or compatibility indefinitely.
22. Privacy
Your use of the Software may involve the collection, storage, processing, transmission, and disclosure of information as described in the MechConnect Privacy Policy. By using the Software, you acknowledge that information may be processed in accordance with the Privacy Policy and applicable law. Nothing contained within this EULA modifies or replaces the Privacy Policy. If a conflict exists regarding privacy practices, the Privacy Policy shall govern those issues.
23. Changes to this Agreement
MechConnect reserves the right to modify, amend, supplement, or replace this Agreement whenever reasonably necessary to reflect changes in applicable law; improve Platform security; address technological developments; introduce new Software functionality; comply with regulatory requirements; clarify existing provisions; or support legitimate business operations.
Where required by applicable law, MechConnect will provide reasonable notice before material changes become effective. Your continued installation, access, or use of the Software after the effective date of revised terms constitutes acceptance of the updated Agreement.
24. Survival
The following provisions survive termination, expiration, suspension, revocation of your license, deletion of the Software, or closure of your account: intellectual property protections; ownership provisions; reverse engineering restrictions; Software Security obligations; Artificial Intelligence and Data Extraction restrictions; confidentiality obligations; warranty disclaimers; limitation of liability; indemnification; dispute resolution provisions incorporated from the Terms and Conditions; governing law provisions incorporated from the Terms and Conditions; payment obligations that accrued before termination; and any provision that, by its nature, is intended to survive.
25. Severability
If any provision of this Agreement is determined by a court or arbitrator of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be interpreted and modified only to the minimum extent necessary to render it enforceable. If modification is not possible, the affected provision shall be severed. All remaining provisions shall remain in full force and effect.
26. Entire Agreement
This EULA, together with the MechConnect Terms and Conditions, Privacy Policy, Customer User Agreement, Mechanic User Agreement, and any additional policies expressly incorporated by reference, constitutes the complete agreement governing your license to use the Software. This Agreement supplements the Terms and Conditions and governs software licensing matters specifically.
27. App Store Distribution Terms
If you obtain the Software through the Apple App Store, Google Play Store, or another authorized application marketplace, you acknowledge and agree that: this Agreement is between you and MechConnect, and not with the marketplace operator; the marketplace operator is not responsible for the Software, its maintenance, support, or warranty except as required by applicable law; MechConnect is solely responsible for addressing claims relating to the Software to the extent required by law; the marketplace operator is a third-party beneficiary of this Agreement where applicable and may enforce applicable provisions as permitted by its developer policies; and your use of the Software must comply with the applicable marketplace's terms of service and distribution requirements.
Nothing in this Agreement is intended to reduce or limit any mandatory rights you may have under the rules governing the marketplace from which you downloaded the Software.
28. Government Users
If the Software is acquired by or on behalf of a governmental entity, the Software is licensed as commercial computer software and commercial computer software documentation to the maximum extent permitted by applicable law. Any governmental use shall be subject to this Agreement except where prohibited by applicable law.
29. No Waiver
Failure by MechConnect to enforce any provision of this Agreement shall not constitute a waiver of that provision or of any other right under this Agreement. Any waiver must be in writing and signed by an authorized representative of MechConnect. No waiver of any breach shall constitute a waiver of any subsequent or continuing breach.

31. Electronic Acceptance
BY DOWNLOADING, INSTALLING, ACCESSING, UPDATING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT: YOU HAVE READ THIS END USER LICENSE AGREEMENT IN ITS ENTIRETY; YOU UNDERSTAND ITS TERMS; YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE BEFORE ACCEPTING THIS AGREEMENT; YOU AGREE THAT THIS AGREEMENT IS LEGALLY BINDING; YOUR ELECTRONIC ACCEPTANCE CONSTITUTES A VALID ELECTRONIC SIGNATURE TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW; AND YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT AS IF YOU HAD EXECUTED A WRITTEN CONTRACT.

1. Introduction
This Customer User Agreement ("Customer Agreement" or "Agreement") is a legally binding agreement between MechConnect and every Customer who accesses or uses the MechConnect Platform to locate, communicate with, request services from, schedule, hire, or otherwise engage an independent Mechanic to perform Vehicle-Related Services. This Agreement supplements the MechConnect Terms and Conditions and establishes additional rights, responsibilities, and obligations that apply specifically to Customers.
By creating a Customer account, requesting services, communicating with Mechanics, requesting estimates, approving estimates, authorizing repairs, approving replacement parts, submitting payments, posting reviews, uploading Content, or otherwise using the Platform, you acknowledge that you have carefully read this Agreement, understand its provisions, and voluntarily agree to be legally bound by every provision contained herein. If you do not agree to this Agreement, you may not register as a Customer or continue using the Platform.
2. Relationship to the Terms and Conditions
This Agreement supplements the MechConnect Terms and Conditions. Except where this Agreement establishes obligations that apply specifically to Customers, every provision contained within the MechConnect Terms and Conditions remains fully applicable. If a conflict exists between this Agreement and the Terms and Conditions, the Terms and Conditions shall govern unless this Agreement expressly provides otherwise.
3. Nature of the Platform
MechConnect is a technology company that operates a digital marketplace. MechConnect is not a repair shop, dealership, maintenance facility, marina, aviation maintenance organization, fleet operator, towing company, roadside assistance provider, engineering firm, inspection station, insurance company, or transportation service provider.
MechConnect does not: employ Mechanics; direct Mechanics; supervise repairs; inspect Vehicles; verify diagnoses; approve repair procedures; control pricing; furnish replacement parts; provide tools or equipment; certify repairs; guarantee workmanship; guarantee Customer satisfaction; guarantee repair outcomes; guarantee that a Vehicle will be safe to operate after service; guarantee that a Mechanic possesses any particular level of skill beyond information voluntarily submitted or verified through Platform processes; or become a party to the repair contract between the Customer and the Mechanic.
Every agreement concerning Vehicle-Related Services exists solely between the Customer and the independent Mechanic selected by the Customer.
4. Customer Eligibility
To use the Platform as a Customer, you represent and warrant that: you are at least eighteen (18) years of age or otherwise possess the legal capacity to enter into legally binding agreements; all information submitted to MechConnect is truthful, accurate, complete, and current; you possess lawful authority to request Vehicle-Related Services for the Vehicle involved in the Transaction; you will promptly update information that becomes inaccurate; and you are not prohibited from using the Platform under applicable law.
If you create an account on behalf of a corporation, partnership, governmental agency, fleet operator, nonprofit organization, or other legal entity, you represent that you possess authority to bind that entity to this Agreement.
5. Customer Responsibility for Selecting a Mechanic
Customers retain complete discretion regarding which independent Mechanic they choose to hire. Mechanics operating through the Platform are independent businesses or independent contractors and are not employees, representatives, agents, partners, franchisees, or subcontractors of MechConnect.
Customers are encouraged to independently evaluate factors including experience; verification status; licensing where applicable; insurance; certifications; reviews; specialized training; service history; equipment; availability; and any other factor the Customer considers relevant. Information displayed through the Platform is intended to assist Customers in making independent decisions and does not constitute a guarantee, endorsement, warranty, certification, recommendation, or representation by MechConnect. Customers acknowledge that they — not MechConnect — make the final decision regarding which Mechanic to hire and whether to authorize any Vehicle-Related Services.
6. Vehicle Condition and Customer Acknowledgements
Customers acknowledge that every Vehicle is unique and that the condition of any Vehicle may differ significantly from its appearance, maintenance history, prior repair records, or the Customer's understanding of its condition. Customers expressly acknowledge that hidden, latent, intermittent, progressive, undocumented, or previously undiscovered defects may exist before any work begins — including internal engine damage, internal transmission damage, differential damage, structural damage, frame damage, hidden collision damage, corrosion, saltwater corrosion, flood damage, fire damage, electrical faults, wiring defects, computer software failures, electronic control module failures, hydraulic failures, pneumatic failures, fuel contamination, metal fatigue, cracked welds, previous improper repairs, unauthorized modifications, defective replacement parts, unknown maintenance history, manufacturer defects, marine deterioration, aviation maintenance deficiencies, heavy equipment wear, agricultural equipment deterioration, and other conditions that could not reasonably have been identified before further inspection or disassembly.
Customers acknowledge that discovery of additional defects during diagnosis or repair does not, by itself, establish negligence, fraud, poor workmanship, misrepresentation, or wrongdoing by the Mechanic or MechConnect.
7. Customer Authorization of Repairs
Customers remain solely responsible for determining which repairs, inspections, maintenance procedures, modifications, replacement parts, testing procedures, or other Vehicle-Related Services they authorize. Nothing contained within the Platform requires a Customer to approve every recommendation made by a Mechanic. Likewise, nothing contained within this Agreement requires a Mechanic to perform unauthorized work.
Approval of additional repairs constitutes the Customer's independent decision to authorize those services based upon information provided by the independent Mechanic. MechConnect does not determine whether a recommended repair is necessary, appropriate, cost-effective, or technically correct.
8. Additional Repairs and Hidden Conditions
Customers acknowledge that initial estimates frequently represent good-faith professional opinions based upon the information available before inspection or disassembly. As work progresses, additional issues may reasonably be discovered that require further diagnosis, additional labor, replacement parts, specialized equipment, or additional services. Such discoveries do not necessarily indicate that an earlier estimate was inaccurate, misleading, negligent, or fraudulent.
Customers acknowledge that declining recommended repairs may affect Vehicle safety, reliability, regulatory compliance, operational capability, resale value, warranty coverage, or future repair costs.
9. Vehicle Ownership and Authority
Customers represent and warrant that they possess lawful authority to request and authorize Vehicle-Related Services. Customers shall not knowingly request services for: stolen Vehicles; fraudulently obtained Vehicles; Vehicles they lack authority to control; Vehicles subject to legal restrictions prohibiting the requested services; or property belonging to another person without lawful authorization.
Customers remain solely responsible for any disputes arising from ownership, authorization, financing interests, lease agreements, title issues, or similar matters. MechConnect has no obligation to independently verify ownership or authority before a Transaction occurs.
10. Customer Responsibilities Before Service
Before a Transaction begins, Customers agree to make commercially reasonable efforts to: provide accurate information regarding the Vehicle and the requested services; disclose known safety concerns; disclose known modifications that may affect repairs; disclose known accident history where relevant; provide reasonable access to the Vehicle; ensure that the Vehicle can be accessed safely; remove firearms, ammunition, controlled substances, valuables, confidential documents, cash, jewelry, and other personal property that is not necessary for the requested service; back up electronic information stored within infotainment or navigation systems where appropriate; and notify the Mechanic of any unusual operating characteristics reasonably relevant to the requested services.
Customers remain solely responsible for personal property left inside or attached to the Vehicle unless otherwise required by applicable law.
11. Worksite Conditions
When services are performed at a location selected by the Customer, the Customer remains responsible for providing a location that is reasonably safe and legally accessible for the requested services. Customers are encouraged to disclose conditions that may reasonably affect safety, including uneven terrain; traffic hazards; hazardous materials; dangerous animals; restricted access; inadequate lighting; poor ventilation; structural instability; environmental hazards; or other conditions that could reasonably affect the safety of persons performing the work.
MechConnect does not inspect service locations, supervise repairs, evaluate worksite safety, or guarantee that any location is suitable for Vehicle-Related Services.
12. Customer Insurance
Customers remain solely responsible for determining whether they maintain insurance coverage appropriate for their circumstances. MechConnect strongly encourages Customers to maintain appropriate insurance coverage. However, MechConnect does not provide insurance; sell insurance; verify insurance coverage; guarantee insurance adequacy; interpret insurance policies; adjust insurance claims; or represent any insurance carrier.
13. Replacement Parts
Where supported by the Platform, Mechanics may submit replacement-part requests through MechConnect for Customer approval before installation. Customers remain solely responsible for reviewing and approving or declining proposed replacement parts before authorizing installation. Mechanics remain solely responsible for determining whether a particular replacement part is technically appropriate.
MechConnect does not select, recommend, manufacture, sell (unless expressly stated), inspect, or test replacement parts, and does not verify compatibility or guarantee authenticity, quality, availability, or warranty coverage. Customers acknowledge that replacement parts may include, where lawful and disclosed by the Mechanic: OEM parts; aftermarket parts; rebuilt parts; remanufactured parts; reconditioned parts; salvage parts; used parts; or other legally available replacement components.
14. Customer Approval of Replacement Parts
Where the Platform provides electronic approval functionality, Customers acknowledge that approval of replacement parts constitutes authorization for the Mechanic to install the approved parts as part of the authorized services. Nothing contained within this Agreement obligates a Customer to approve any proposed replacement part. Likewise, nothing contained herein obligates a Mechanic to install Customer-requested parts that the Mechanic reasonably believes are unsafe, incompatible, counterfeit, defective, unlawful, or otherwise unsuitable.
15. Road Testing and Operational Testing
Customers acknowledge that certain Vehicle-Related Services cannot reasonably be verified without some form of operational testing — including road testing; sea trials; taxi testing; functional testing; operational testing; diagnostic testing; calibration procedures; systems verification; performance testing; or other lawful procedures reasonably necessary to evaluate completed work.
Customers acknowledge that declining reasonably necessary testing may prevent the Mechanic from confirming whether repairs have been successfully completed. MechConnect neither supervises nor directs testing procedures and assumes no responsibility for accidents, injuries, citations, regulatory violations, equipment failures, or property damage arising from testing conducted by independent Mechanics.
16. Customer Responsibilities Following Completion of Services
Upon completion of authorized Vehicle-Related Services, Customers are encouraged to inspect the Vehicle and promptly communicate any concerns directly to the Mechanic through the Platform where available. Customers acknowledge that certain issues may not become apparent until the Vehicle has been operated under normal conditions, and that continued operation of a Vehicle after becoming aware of a potential safety issue may increase the risk of additional damage, property loss, personal injury, or regulatory violations.
17. Customer Disputes with Mechanics
Customers acknowledge that every agreement concerning Vehicle-Related Services exists solely between the Customer and the independent Mechanic. Disputes concerning quality of repairs; workmanship; diagnoses; pricing; labor charges; replacement parts; delays; scheduling; Vehicle damage; property damage; personal injury; business interruption; downtime; diminished value; loss of use; rental vehicle expenses; towing expenses; storage fees; warranty disputes; regulatory compliance; professional negligence; or any other matter arising directly from Vehicle-Related Services remain solely between the Customer and the independent Mechanic except to the extent otherwise required by applicable law.
Although MechConnect may facilitate communications, preserve records, review reports of policy violations, or investigate fraud, MechConnect does not act as an arbitrator, repair inspector, expert witness, engineering consultant, legal representative, insurance adjuster, or guarantor of repair outcomes.
18. Customer Reports and Complaints
Customers may report safety concerns, policy violations, fraudulent activity, counterfeit parts, misconduct, or other matters through reporting features made available by the Platform. Reports submitted through the Platform shall be truthful, complete, and submitted in good faith.
Customers shall not knowingly submit false complaints; fraudulent reports; fabricated evidence; altered photographs; false safety allegations; defamatory statements presented as fact; reports intended solely to damage another User's reputation; or reports submitted for purposes of harassment, retaliation, extortion, or financial leverage.
Submission of a report does not guarantee that MechConnect will remove a User, issue a refund, compensate a Customer, determine fault, or resolve the underlying dispute.
19. Business Losses and Consequential Damages
Customers acknowledge that Vehicle downtime may result in inconvenience, lost income, missed appointments, delayed projects, interrupted travel, commercial losses, rental expenses, towing costs, storage charges, or other indirect consequences. Except to the extent prohibited by applicable law, MechConnect shall not be responsible for consequential losses arising from the independent acts or omissions of Mechanics — including lost wages; lost profits; business interruption; loss of business opportunities; missed contracts; missed deliveries; missed travel; missed vacations; rental vehicle costs; towing expenses; storage fees; diminished Vehicle value; loss of resale value; commercial downtime; marine downtime; aircraft downtime; agricultural downtime; construction equipment downtime; or other indirect or consequential damages.
Nothing contained within this Section limits any non-waivable rights or remedies provided by applicable law.
20. Payments and Payment Authorization
Payments for Transactions facilitated through the Platform may be processed through one or more independent third-party payment processors designated by MechConnect. Customers authorize MechConnect and its designated payment processors to process payments relating to authorized Transactions, including Platform service fees, payment-processing fees, taxes, cancellation fees where applicable, refunds, adjustments, credits, reversals, and other properly disclosed charges.
Customers represent and warrant that they are legally authorized to use every payment method submitted through the Platform. Customers shall not knowingly use stolen or unauthorized payment methods; submit fraudulent payment information; initiate fraudulent chargebacks; attempt duplicate payments for improper purposes; circumvent Platform payment systems; or otherwise interfere with lawful payment processing.
MechConnect reserves the right, to the fullest extent permitted by applicable law, to delay, restrict, reverse, or temporarily withhold payment processing where reasonably necessary to investigate fraud, unauthorized Transactions, chargebacks, identity verification issues, court orders, governmental requests, payment processor requirements, or violations of Platform policies.
21. Fraud Prevention
Customers agree not to use the Platform to engage in fraud, deception, theft, identity misrepresentation, insurance fraud, payment fraud, chargeback abuse, or any other dishonest conduct. Customers shall not knowingly: request services without intending to pay; submit false claims regarding completed work; misrepresent Vehicle ownership; misrepresent authorization to approve repairs; falsify photographs or documentation; submit fraudulent accident reports; submit false insurance information; misrepresent communications with Mechanics; create fictitious Transactions; coordinate fraudulent reviews; assist another User in violating Platform policies; or otherwise use the Platform for unlawful or deceptive purposes.
MechConnect may investigate suspected fraud involving any User and may preserve evidence, request documentation, cooperate with governmental authorities, temporarily restrict Platform access, delay payment processing where legally permitted, or take any other reasonable action necessary to protect the Platform and its Users.
22. Reviews, Ratings, and Customer Feedback
Reviews must accurately reflect the Customer's honest experience. Customers shall not knowingly submit false reviews; fabricated experiences; reviews regarding Transactions in which they did not participate; defamatory statements presented as fact; fraudulent allegations; manipulated evidence; duplicate reviews intended to influence Platform rankings; reviews submitted through multiple accounts; reviews created in exchange for compensation conditioned upon a particular rating; or reviews intended solely to harass, retaliate against, threaten, extort, or intimidate another User.
Nothing contained within this Agreement prohibits a Customer from submitting an honest review or complaint based upon the Customer's genuine experience, regardless of whether the review is favorable or unfavorable.
23. Customer Conduct
Customers agree to conduct themselves honestly, respectfully, and professionally while using the Platform. Customers shall not: threaten, harass, or stalk Mechanics; discriminate against any User in violation of applicable law; use abusive language; engage in retaliation; demand unlawful repairs; request fraudulent inspections; request odometer fraud; request emissions fraud; request title fraud; request VIN alteration; request defeat devices or unlawful emissions modifications; request unlawful tampering with safety systems; request counterfeit parts; request stolen parts; request illegal transportation of hazardous materials; or otherwise request services that violate applicable law.
Mechanics retain the right to refuse any request they reasonably believe would require unlawful, unsafe, or unethical conduct.
24. Customer Account Security
Customers remain solely responsible for maintaining the confidentiality of their account credentials. Customers agree to: maintain accurate account information; protect usernames and passwords; promptly report suspected unauthorized access; use commercially reasonable efforts to safeguard access to their devices; and notify MechConnect of material security concerns affecting their account.
MechConnect is not responsible for losses resulting from unauthorized account access caused by a Customer's failure to maintain reasonable account security.
25. Investigations and Cooperation
MechConnect may investigate activity that it reasonably believes violates this Agreement, the Terms and Conditions, applicable law, Platform policies, or the rights of another User. Customers agree to cooperate reasonably with lawful investigations by providing truthful information and documentation where legally permissible.
During an investigation, MechConnect may, where reasonably necessary: restrict certain Platform features; request additional documentation; preserve evidence; delay payment processing where permitted by applicable law; temporarily suspend account functionality; restrict Platform access; or take other reasonable actions. The existence of an investigation does not constitute a determination of fault, negligence, fraud, criminal conduct, or legal liability.
26. MechConnect's Limited Role in Customer Disputes
MechConnect operates solely as a technology marketplace and not as a repair provider, insurer, escrow company, expert witness, engineering consultant, investigator, arbitrator, mediator, guarantor, or legal representative. Nothing contained within this Agreement obligates MechConnect to: determine legal liability; decide fault; inspect repairs; verify workmanship; guarantee repairs; recover damages; collect judgments; represent either party in legal proceedings; negotiate settlements; or provide legal, engineering, tax, or insurance advice.
Participation by MechConnect in communications, investigations, payment processing, fraud prevention, or Platform administration shall not be interpreted as an assumption of legal responsibility for the underlying Transaction.
27. Assumption of Risk
Customers acknowledge that ownership, operation, transportation, maintenance, diagnosis, inspection, modification, restoration, and repair of Vehicles involve inherent risks that cannot be completely eliminated — including mechanical failure; electrical failure; hydraulic failure; fuel-system failure; structural failure; software malfunction; hidden defects; component failure; fire; explosion; hazardous materials; environmental contamination; personal injury; permanent disability; death; property damage; Vehicle damage; regulatory violations; business interruption; commercial downtime; marine incidents; aviation incidents; heavy equipment incidents; and other risks inherent in Vehicle ownership and repair.
By voluntarily requesting Vehicle-Related Services through the Platform, Customers knowingly accept the inherent risks associated with engaging an independent Mechanic. Nothing contained within this Agreement transfers those risks to MechConnect.
28. Release of Claims Against MechConnect
To the fullest extent permitted by applicable law, Customers release MechConnect, its owners, officers, directors, employees, contractors, affiliates, subsidiaries, licensors, successors, assigns, agents, and representatives from claims arising solely from the independent acts or omissions of Mechanics or other Users — including claims relating to repair quality; workmanship; Vehicle damage; property damage; personal injury; delays; scheduling disputes; diagnostic errors; replacement parts; pricing disputes; customer dissatisfaction; business interruption; loss of use; diminished value; loss of resale value; commercial losses; marine losses; aviation losses; heavy equipment losses; and other matters arising directly from Vehicle-Related Services performed by independent Mechanics.
Nothing contained within this Section releases MechConnect from liability that cannot legally be released under applicable law.
29. Customer Indemnification
To the fullest extent permitted by applicable law, Customers agree to defend, indemnify, and hold harmless MechConnect and its owners, officers, directors, employees, contractors, affiliates, licensors, successors, assigns, agents, representatives, and service providers from and against any claims, demands, lawsuits, arbitrations, governmental investigations, regulatory proceedings, judgments, settlements, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: the Customer's use of the Platform; the Customer's violation of this Agreement or the Terms and Conditions; fraudulent conduct; payment fraud; identity misrepresentation; intellectual property infringement; privacy violations; false reports; defamatory statements; Customer Content; criminal conduct; regulatory violations; ownership disputes; unauthorized Vehicle repairs; requests for unlawful services; or the Customer's independent acts or omissions.
Nothing contained within this Section requires a Customer to indemnify MechConnect for liability arising solely from MechConnect's own gross negligence, willful misconduct, fraud, or other liability that cannot legally be shifted under applicable law.
30. Suspension and Termination
To the fullest extent permitted by applicable law, MechConnect may suspend, restrict, or terminate a Customer account whenever the Company reasonably determines that such action is necessary to protect Users; protect the Platform; preserve Platform integrity; investigate fraud or criminal activity; address repeated policy violations; address safety concerns; comply with legal obligations; respond to lawful governmental requests; or reduce unreasonable legal, financial, operational, security, or reputational risk.
Examples of conduct that may result in suspension or termination include payment fraud; chargeback abuse; identity misrepresentation; harassment; discrimination prohibited by applicable law; threats of violence; submission of false reports; repeated abuse of Platform systems; requests for unlawful services; counterfeit-part schemes; circumvention of Platform fees; and material violations of this Agreement or the Terms and Conditions.
31. Consumer Protection and State Law Compliance
Nothing contained within this Agreement is intended to waive, limit, or eliminate any legal right or protection that cannot lawfully be waived under applicable federal, state, territorial, tribal, or local law. Where applicable law grants a Customer mandatory rights that conflict with a provision of this Agreement, those mandatory rights shall control only to the extent required by law. The remaining provisions of this Agreement shall remain fully enforceable.
32. Modifications to this Agreement
MechConnect may modify, revise, supplement, or replace this Agreement whenever reasonably necessary to reflect changes in applicable law; regulatory guidance; judicial decisions; Platform functionality; security practices; payment systems; supported Vehicle categories; supported service categories; industry standards; or legitimate business operations.
Where required by applicable law, MechConnect will provide reasonable notice before material changes become effective. Continued use of the Platform after the effective date of revised terms constitutes acceptance of the updated Agreement.
33. Survival
The following provisions survive suspension, termination, account closure, or expiration of this Agreement: payment obligations; confidentiality obligations; intellectual property provisions; indemnification; assumption of risk; record-retention provisions; cooperation with lawful investigations; dispute-resolution provisions; arbitration provisions incorporated from the Terms and Conditions; governing-law provisions incorporated from the Terms and Conditions; and any provision that, by its nature, is intended to survive.
34. Severability
If any provision of this Agreement is determined by a court or arbitrator of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be interpreted and modified only to the minimum extent necessary to render it enforceable. If modification is not possible, the provision shall be severed from this Agreement. The remaining provisions shall continue in full force and effect.
35. Entire Agreement
This Customer User Agreement, together with the MechConnect Terms and Conditions, Privacy Policy, End User License Agreement (EULA), Mechanic User Agreement, and any additional policies expressly incorporated by reference, constitutes the complete agreement between MechConnect and the Customer regarding the Customer's use of the Platform.

37. Electronic Acceptance
BY CREATING A CUSTOMER ACCOUNT, REQUESTING SERVICES, APPROVING ESTIMATES, AUTHORIZING REPAIRS, SUBMITTING PAYMENTS, OR OTHERWISE USING THE PLATFORM, YOU ACKNOWLEDGE THAT: YOU HAVE READ THIS AGREEMENT IN ITS ENTIRETY; YOU UNDERSTAND ITS TERMS; YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE BEFORE ACCEPTING THIS AGREEMENT; YOU VOLUNTARILY ACCEPT ALL OBLIGATIONS CONTAINED HEREIN; YOUR ELECTRONIC ACCEPTANCE CONSTITUTES A LEGALLY BINDING ELECTRONIC SIGNATURE; AND YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT TO THE SAME EXTENT AS IF YOU HAD EXECUTED A WRITTEN CONTRACT BEARING YOUR HANDWRITTEN SIGNATURE.
1. Introduction
This Mechanic User Agreement ("Mechanic Agreement" or "Agreement") is a legally binding agreement between MechConnect and every independent Mechanic who accesses or uses the MechConnect Platform to advertise, offer, schedule, perform, or otherwise provide Vehicle-Related Services. This Agreement supplements the MechConnect Terms and Conditions and applies only to Mechanics.
By creating a Mechanic account, accepting this Agreement, completing identity verification, communicating with Customers, offering estimates, scheduling appointments, performing services, receiving payments, or otherwise using the Platform, you acknowledge that you have carefully read this Agreement in its entirety, understand its provisions, and voluntarily agree to be legally bound by every term contained herein. If you do not agree to this Agreement, you may not register or continue using the Platform as a Mechanic.
2. Relationship to the Terms and Conditions
This Agreement supplements the MechConnect Terms and Conditions. Except where this Agreement expressly establishes obligations that apply specifically to Mechanics, every provision contained within the MechConnect Terms and Conditions remains fully applicable. If any provision of this Agreement conflicts with the Terms and Conditions, the Terms and Conditions shall govern unless this Agreement expressly provides otherwise.
3. Nature of the Platform
MechConnect operates solely as an independent technology marketplace. The Company does not employ Mechanics, operate repair facilities, dispatch service providers as an employer, supervise Vehicle-Related Services, inspect completed work, establish repair procedures, determine labor rates, furnish repair facilities, provide tools or equipment, direct professional judgment, or guarantee repair outcomes.
Mechanics remain solely responsible for every service they choose to provide through the Platform.
4. Independent Contractor Relationship
Every Mechanic using the Platform operates as an independent business or independent contractor. Nothing contained within this Agreement, the Terms and Conditions, the Platform, or any communication from MechConnect creates a relationship of employment, agency, partnership, franchise, joint venture, fiduciary relationship, or employer-employee relationship between MechConnect and any Mechanic.
Mechanics retain exclusive control over the operation of their independent businesses, including decisions regarding: whether to accept or decline service requests; geographic service areas; operating hours; pricing and labor rates; service offerings; diagnostic procedures; repair methods; equipment; personnel; replacement parts; safety procedures; professional judgment; and compliance with applicable laws.
No Mechanic possesses authority to bind MechConnect to any contract, warranty, guarantee, representation, debt, legal obligation, or financial commitment.
5. Mechanic Eligibility
To register as a Mechanic, you represent and warrant that: you are at least eighteen (18) years of age or otherwise possess the legal capacity to enter into binding contracts; all information submitted to MechConnect is accurate, truthful, complete, and current; you possess all licenses, certifications, registrations, permits, approvals, and professional qualifications required by applicable law for the services you choose to perform; you will maintain those qualifications throughout your use of the Platform; you will immediately cease offering any service for which a legally required credential has expired, been suspended, revoked, restricted, or otherwise become invalid; you possess the training, knowledge, equipment, experience, and physical ability reasonably necessary to perform the services you voluntarily accept; and you will comply with all applicable laws governing your business activities.
Services involving aircraft, commercial motor vehicles, marine vessels, hazardous materials, emissions systems, environmental compliance, or safety inspections may require specialized credentials or governmental authorization. You remain solely responsible for ensuring that every service you perform is legally authorized, professionally appropriate, and within the scope of your qualifications.
6. Verification
MechConnect may request documentation relating to your identity, business, licenses, certifications, insurance, tax information, business registration, qualifications, or other information reasonably necessary to operate the Platform. Verification does not constitute a professional certification; an endorsement by MechConnect; a guarantee of competence; a guarantee of future conduct; a warranty of legal compliance; or a representation that you remain continuously licensed or insured.
Mechanics remain solely responsible for maintaining all legally required credentials and for promptly notifying MechConnect of material changes affecting their eligibility. MechConnect reserves the right to request updated documentation, suspend verification status, restrict access, or remove verification where reasonably necessary.
7. Scope of Vehicle-Related Services
Mechanics retain sole discretion regarding the categories of Vehicle-Related Services they choose to offer through the Platform. Services may include inspection; diagnosis; maintenance; repair; restoration; fabrication; welding; installation; customization; detailing; painting; refinishing; towing; roadside assistance; recovery; marine services; aviation maintenance where legally authorized; fleet maintenance; heavy equipment service; agricultural equipment service; and other lawful services supported by MechConnect.
Acceptance of a service request represents the Mechanic's independent determination that the requested work can be performed safely, competently, and in compliance with applicable law. Nothing contained within this Agreement shall be interpreted as requiring a Mechanic to accept work that the Mechanic reasonably believes cannot be completed safely, lawfully, ethically, or professionally.
8. Acceptance of Service Requests
Mechanics remain free to accept or decline service requests for any lawful reason before authorized work has commenced — including insufficient qualifications; lack of required tools or equipment; geographic limitations; scheduling conflicts; safety concerns; incomplete or inaccurate Vehicle information; inability to obtain necessary replacement parts; legal or regulatory restrictions; Customer conduct that reasonably creates safety concerns; or any other legitimate business reason.
Once a Mechanic has accepted a request and authorized work has begun, the Mechanic agrees to make commercially reasonable efforts to complete the authorized services unless continuation would create an unreasonable safety risk; violate applicable law; require qualifications or certifications not possessed by the Mechanic; require Customer approval that has not been obtained; become impossible because of circumstances beyond the Mechanic's reasonable control; or otherwise justify discontinuation under this Agreement.
9. Transaction Completion
Mechanics agree to accurately maintain the status of each Transaction using the Platform features provided by MechConnect. A Transaction shall not be considered completed for Platform purposes until it has been marked as completed through the applicable Platform functionality or otherwise closed in accordance with MechConnect procedures.
Mechanics shall not intentionally misclassify, falsely complete, falsely cancel, fabricate, conceal, or otherwise manipulate Transaction records. Customers and Mechanics may not intentionally cancel or move Transactions outside the Platform after using MechConnect to establish contact for the purpose of avoiding Platform service fees.
Nothing contained within this Section prohibits a Mechanic from operating an independent business outside the Platform or serving Customers obtained independently of MechConnect. This restriction applies only to Transactions initiated through the Platform and intentionally diverted to avoid MechConnect's properly disclosed fees.
10. Customer Communication
Mechanics agree to communicate with Customers in a professional, timely, accurate, and respectful manner, and to make commercially reasonable efforts to notify Customers when material changes occur during the course of a Transaction — including significant scheduling changes, unexpected delays, newly discovered repair conditions, additional labor requirements, additional replacement parts, safety concerns, or other circumstances that may reasonably affect the Customer's decisions.
Mechanics shall not knowingly provide false, deceptive, or materially misleading information regarding Vehicle condition; required repairs; estimated completion times; pricing; replacement parts; qualifications; certifications; licensing; insurance coverage; or any other material aspect of the Transaction.
11. Estimates, Diagnoses, and Professional Judgment
Mechanics acknowledge that many estimates and preliminary diagnoses are based upon limited information available before inspection, testing, or disassembly. Initial estimates frequently represent good-faith professional opinions rather than guaranteed final repair costs. Mechanics remain solely responsible for exercising independent professional judgment when inspecting Vehicles and determining appropriate repair procedures.
Where reasonably practicable, Mechanics are encouraged to obtain Customer approval before performing additional work or installing additional replacement parts beyond the scope of previously authorized services. Mechanics shall not knowingly recommend unnecessary repairs, intentionally exaggerate Vehicle conditions, or misrepresent repair needs for financial gain.
12. Replacement Parts
Mechanics remain solely responsible for selecting replacement parts appropriate for the authorized services they perform. Where supported by the Platform, Mechanics shall accurately identify proposed replacement parts and obtain Customer approval before installation.
Mechanics shall not knowingly install counterfeit, stolen, or unlawfully obtained parts, or misrepresent the origin, manufacturer information, warranty information, compatibility, or condition of replacement parts. Nothing contained within this Agreement requires a Mechanic to install Customer-supplied parts that the Mechanic reasonably believes are unsafe, unlawful, defective, counterfeit, incompatible, or otherwise unsuitable.
13. Worksite Safety and Independent Safety Determinations
Each Mechanic remains solely responsible for independently determining whether a requested service can be performed safely before work begins and throughout the duration of the Transaction — evaluating conditions including environmental hazards; traffic conditions; weather conditions; structural stability; fire hazards; electrical hazards; hazardous materials; adequate lighting; adequate ventilation; equipment stability; Vehicle stability; access limitations; and any other condition that may reasonably affect safety.
Nothing contained within this Agreement requires a Mechanic to begin or continue work where the Mechanic reasonably believes doing so would create an unreasonable risk of injury, death, property damage, environmental harm, criminal activity, or violation of applicable law. MechConnect does not inspect work locations, evaluate safety conditions, supervise repairs, provide safety equipment, or direct repair procedures.
14. Compliance With Laws and Industry Regulations
Mechanics remain solely responsible for complying with all federal, state, territorial, tribal, local, and international laws applicable to the services they perform — including, depending on the Vehicle category, laws administered by agencies such as the FAA; USCG; FMCSA; EPA; OSHA; NHTSA; state licensing boards; state environmental agencies; state transportation agencies; local governmental authorities; and any other governmental body having jurisdiction.
Nothing contained within this Agreement authorizes a Mechanic to perform services requiring credentials, licenses, certifications, approvals, or legal authority that the Mechanic does not possess. MechConnect does not determine whether a Mechanic is legally qualified to perform every category of service offered through the Platform.
15. Hazardous Materials and Environmental Responsibilities
Mechanics remain solely responsible for the lawful handling, storage, transportation, recycling, documentation, and disposal of hazardous materials arising from their work — including used motor oil; transmission fluid; differential fluid; hydraulic fluid; brake fluid; coolant; refrigerants; fuel; batteries; battery acid; solvents; paint products; paint thinners; cleaning chemicals; adhesives; sealants; contaminated absorbents; oil filters; fuel filters; marine contaminants; aviation fluids; industrial lubricants; and any other hazardous substance regulated under applicable law.
MechConnect does not collect, transport, store, recycle, dispose of, inspect, or supervise hazardous materials generated by independent Mechanics. Mechanics shall indemnify and hold harmless MechConnect from claims arising out of the Mechanic's handling or disposal of hazardous materials to the fullest extent permitted by applicable law.
16. Required Tools, Equipment, and Professional Resources
Mechanics operate independent businesses and remain solely responsible for furnishing the tools, equipment, diagnostic devices, computers, software, lifts, jacks, specialty tools, safety equipment, transportation equipment, communications equipment, and other resources reasonably necessary to perform the services they voluntarily accept.
Nothing contained within this Agreement obligates MechConnect to provide tools; shop equipment; mobile service vehicles; diagnostic equipment; personal protective equipment; replacement parts; shop space; utilities; internet service; fuel; insurance; licenses; certifications; or business resources.
17. Documentation and Service Records
Where reasonably practicable and supported by the Platform, Mechanics are encouraged to maintain documentation relating to Transactions — including photographs taken before, during, and after repairs; estimates; Customer approvals; replacement part information; invoices; diagnostic findings; inspection results; communications; completion records; and other information reasonably related to the Transaction.
Mechanics remain solely responsible for the accuracy of documentation they create or submit, and shall not knowingly alter, fabricate, destroy, conceal, or falsify records relating to a Transaction.
18. Accident Reporting
If a significant accident, injury, fire, environmental release, theft, criminal act, or other serious incident occurs during a Transaction facilitated through the Platform, Mechanics are encouraged to promptly notify the Customer and submit an incident report through any reporting feature provided by MechConnect. Submission of an incident report does not constitute an insurance claim, admission of liability, legal determination, or governmental report.
Nothing contained within this Agreement relieves Mechanics of any obligation they may have to notify law enforcement, emergency responders, governmental authorities, insurance carriers, employers, or other persons where notification is required by applicable law.
19. Payments and Payouts
Payments for Transactions facilitated through the Platform may be processed through one or more independent third-party payment processors designated by MechConnect. MechConnect is not a bank, financial institution, escrow company, money transmitter, or payment network.
Mechanics authorize MechConnect and its designated payment processors to facilitate payment processing, collect Platform fees, process authorized payouts, investigate suspected fraud, correct processing errors, withhold amounts where permitted by applicable law, and otherwise administer payment operations. Payouts may be delayed, adjusted, withheld, or temporarily restricted where reasonably necessary to investigate suspected fraud, unauthorized Transactions, chargebacks, or payment disputes; verify identity or banking information; comply with court orders, governmental requests, or sanctions and anti-money laundering requirements; protect Users; protect Platform integrity; or comply with applicable law.
Mechanics remain solely responsible for maintaining accurate banking and tax information associated with their accounts.
20. Fraud Prevention and Platform Integrity
Mechanics agree that they shall not: submit fraudulent estimates or invoices; create fictitious Transactions; falsify service records; manipulate Platform metrics; coordinate fraudulent reviews; participate in payment fraud, identity fraud, or insurance fraud; circumvent Platform fees; knowingly assist another User in violating Platform policies; or otherwise engage in deceptive or dishonest conduct.
Where MechConnect reasonably believes fraud may have occurred, the Company may investigate the Transaction, preserve evidence, request documentation, temporarily restrict Platform access, delay payouts where legally permitted, cooperate with governmental authorities, and take any other action reasonably necessary to protect Users and the Platform.
21. Customer Complaints and Platform Reports
Customers may submit complaints, safety concerns, quality concerns, accident reports, or other reports regarding Transactions completed through the Platform. Review of a complaint does not constitute a finding that the Mechanic committed negligence, fraud, misconduct, or any other legal violation. Likewise, dismissal of a complaint does not constitute an endorsement of the Mechanic's conduct.
Mechanics shall be provided a reasonable opportunity, where appropriate, to submit documentation or information responding to complaints. MechConnect reserves the right to restrict, suspend, or terminate Platform access where it reasonably determines that continued access presents an unreasonable safety, legal, financial, operational, or reputational risk.
22. Insurance
Mechanics remain solely responsible for determining whether they maintain insurance appropriate for the services they perform — which may include commercial general liability, garage liability, professional liability, marine liability, aviation liability, workers' compensation where required, commercial automobile, inland marine, umbrella, or other coverage appropriate to the Mechanic's independent business.
MechConnect strongly encourages Mechanics to maintain adequate insurance coverage but does not provide, sell, verify, guarantee, interpret, or adjust insurance, and does not represent any insurance carrier.
23. Road Testing, Operational Testing, and Functional Verification
Certain Vehicle-Related Services may reasonably require operation of a Vehicle to verify completed work — including road testing, sea trials, taxi testing, operational testing, functional testing, system testing, calibration, or other lawful verification procedures. Mechanics remain solely responsible for determining whether testing is appropriate, lawful, and reasonably necessary, and for complying with all applicable licensing requirements, operational limitations, safety requirements, and applicable laws while conducting any testing.
MechConnect neither supervises nor directs testing activities and assumes no responsibility for accidents, citations, injuries, property damage, equipment damage, regulatory violations, or other events arising during testing performed by independent Mechanics.
24. Record Retention
MechConnect may retain Transaction records, communications, photographs, documentation, payment records, reports, Customer complaints, investigation records, fraud-prevention records, verification records, and other Platform information for periods determined by MechConnect to be reasonably necessary for legal compliance; fraud prevention; regulatory compliance; litigation; insurance inquiries; tax reporting; statistical analysis; Platform improvement; security; customer support; business operations; or other legitimate business purposes.
Mechanics remain responsible for maintaining independent copies of business records they may require for legal, tax, warranty, insurance, regulatory, or operational purposes.
25. Cooperation with Investigations and Law Enforcement
Mechanics agree to cooperate reasonably with lawful investigations relating to Platform use, fraud, payment disputes, counterfeit parts, stolen property, identity verification, safety concerns, criminal activity, intellectual property violations, environmental violations, or other matters affecting Platform integrity.
Where permitted or required by applicable law, MechConnect may preserve records, disclose information to governmental authorities, respond to lawful subpoenas, court orders, warrants, or other compulsory legal process, and cooperate with law enforcement agencies.
26. MechConnect's Limited Role
MechConnect's role is limited to operating a technology marketplace. MechConnect does not: supervise repairs; inspect Vehicles; verify diagnoses; approve repair procedures; direct labor; employ Mechanics; control pricing; determine repair methods; operate repair facilities; furnish tools or equipment; guarantee workmanship; guarantee Customer satisfaction; resolve technical disputes; act as an expert witness; or provide engineering, legal, tax, or insurance advice.
Every professional decision concerning diagnosis, repair methods, replacement parts, inspections, testing, safety procedures, regulatory compliance, and workmanship remains solely the responsibility of the independent Mechanic.
27. Mechanic Account Standards
A Mechanic account is a limited, revocable license to access and use the Platform in accordance with this Agreement. It does not create a property right, guarantee future access, or entitle a Mechanic to continued participation on the Platform.
Mechanics agree to maintain accurate and current account information at all times, and shall promptly notify MechConnect if they become aware of unauthorized access to their account; suspected identity theft; compromised login credentials; fraudulent activity; material changes to licensing or certifications; suspension or revocation of legally required credentials; or other security events that may affect the integrity of the Platform.
Mechanics may not sell, transfer, rent, lease, sublicense, or otherwise allow another person or business to operate under their account without MechConnect's prior written authorization.
28. Professional Standards of Conduct
Mechanics agree to conduct themselves professionally while using the Platform — with honesty, respect, integrity, good-faith communication, lawful business practices, and reasonable cooperation with Customers and MechConnect.
Mechanics shall not knowingly: misrepresent qualifications or credentials; recommend unnecessary services for financial gain; intentionally conceal material repair information; misrepresent Vehicle conditions, pricing, or replacement parts; submit false documentation or fraudulent insurance information; falsify repair records; harass or intimidate Users; engage in discriminatory conduct prohibited by applicable law; use threatening or abusive language; retaliate against Customers for submitting honest reviews or complaints; interfere with Platform investigations; or otherwise engage in conduct that MechConnect reasonably determines threatens the safety, integrity, reputation, or lawful operation of the Platform.
29. Intellectual Property
MechConnect and its licensors retain all right, title, and interest in and to the Platform and all related intellectual property. Mechanics may not copy, reproduce, modify, reverse engineer, distribute, lease, sell, sublicense, scrape, decompile, create derivative works from, or otherwise commercially exploit any portion of the Platform except as expressly permitted by applicable law or authorized in writing.
Mechanics shall not use MechConnect's trademarks, logos, trade dress, branding, marketing materials, copyrighted works, or other proprietary materials in advertising, websites, vehicle graphics, uniforms, business cards, social media, or promotional materials without prior written authorization. Mechanics may truthfully identify themselves as independent service providers using the MechConnect Platform, provided such statements do not imply an employment relationship, partnership, endorsement, certification, or agency relationship with MechConnect.
30. Confidential Information
During use of the Platform, Mechanics may receive access to confidential or non-public information relating to Customers, Transactions, and MechConnect — including customer contact information, Vehicle information, addresses, payment-related information, scheduling information, communications, business practices, Platform functionality, fraud-prevention procedures, and software features.
Mechanics agree to use confidential information solely for legitimate purposes directly related to authorized Transactions and shall not disclose, sell, distribute, publish, or otherwise misuse confidential information except with the lawful authorization of the affected person; as reasonably necessary to perform authorized services; as required by applicable law; or as otherwise permitted by this Agreement. These confidentiality obligations survive account suspension, termination, or expiration.
31. Platform Investigations
MechConnect may investigate activity that it reasonably believes violates this Agreement, the Terms and Conditions, applicable law, Platform policies, or the rights of other Users. During an investigation, MechConnect may, where reasonably necessary: restrict certain Platform features; delay payouts to the extent permitted by applicable law; request additional documentation; suspend verification status; limit account functionality; temporarily suspend Platform access; or take other reasonable actions necessary to protect Users or preserve evidence.
The existence of an investigation does not constitute a determination that the Mechanic violated this Agreement or applicable law.
32. Suspension and Termination
MechConnect reserves the right to suspend, restrict, or terminate a Mechanic's access to the Platform whenever the Company reasonably determines that such action is necessary to protect Customers, other Mechanics, or the Platform; preserve Platform integrity; investigate fraud or criminal activity; address repeated policy violations or safety concerns; respond to governmental requests; comply with applicable law; or reduce unreasonable legal, operational, financial, or reputational risk.
Grounds for suspension or termination may include fraud; identity misrepresentation; counterfeit or stolen parts; falsified documentation; material misrepresentations; serious safety violations; repeated substantiated complaints; criminal conduct affecting Platform safety; fee circumvention; repeated abuse of Platform systems; and violations of this Agreement or the Terms and Conditions.
Termination does not affect obligations that by their nature survive termination, including confidentiality obligations, payment obligations, indemnification obligations, cooperation with lawful investigations, intellectual property obligations, or record-retention obligations.
33. MechConnect's Limited Responsibilities
MechConnect is a technology company operating a digital marketplace. It does not employ Mechanics; operate repair facilities, marinas, aviation maintenance organizations, towing companies, or fleet maintenance businesses; supervise repairs; inspect Vehicles; approve repairs; direct work; provide engineering, legal, tax, or insurance advice; guarantee Customer satisfaction, repair quality, or legal compliance by Users; or guarantee the outcome of any Transaction.
Except to the extent prohibited by applicable law, MechConnect shall not be responsible for disputes, losses, damages, injuries, regulatory actions, environmental claims, business losses, property damage, Vehicle damage, or other consequences arising from the independent acts or omissions of Mechanics or Customers.
34. Indemnification
To the fullest extent permitted by applicable law, each Mechanic agrees to defend, indemnify, and hold harmless MechConnect, its owners, officers, directors, employees, contractors, affiliates, subsidiaries, successors, assigns, licensors, agents, representatives, and service providers from and against any and all claims, demands, lawsuits, arbitrations, investigations, administrative proceedings, governmental actions, judgments, settlements, damages, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: the Mechanic's use of the Platform; any Vehicle-Related Services performed by the Mechanic; damage to Vehicles or other property; personal injury, illness, disability, or death; environmental contamination; improper handling or disposal of hazardous materials; regulatory or licensing violations; intellectual property infringement; privacy violations; fraudulent conduct; counterfeit or unlawfully obtained parts; violations of this Agreement or the Terms and Conditions; or the operation of the Mechanic's independent business.
Nothing contained within this Section requires a Mechanic to indemnify MechConnect for liability arising solely from MechConnect's own gross negligence, willful misconduct, fraud, or other liability that cannot legally be shifted under applicable law.
35. Assumption of Risk
Mechanics acknowledge that Vehicle-Related Services involve inherent risks that cannot be completely eliminated — including mechanical failures, structural failures, electrical hazards, hydraulic failures, fuel-system failures, fire, explosions, hazardous chemicals, environmental contamination, aviation hazards, marine hazards, traffic hazards, heavy equipment operation, lifting operations, moving machinery, falling objects, severe bodily injury, permanent disability, death, and significant property damage.
By voluntarily accepting Transactions through the Platform, Mechanics knowingly assume the risks associated with operating an independent service business.
36. Modifications to this Agreement
MechConnect may modify, revise, replace, supplement, or update this Agreement whenever reasonably necessary to reflect changes in applicable law; regulatory guidance; court decisions; Platform functionality; security practices; payment systems; verification procedures; supported Vehicle or service categories; industry standards; or legitimate business operations.
Where required by applicable law, MechConnect will provide reasonable notice before material changes become effective. Continued use of the Platform after the effective date of revised terms constitutes acceptance of the updated Agreement.
37. Survival
The following provisions survive suspension, termination, expiration, or closure of a Mechanic account: confidentiality obligations; intellectual property provisions; payment obligations; record-retention provisions; indemnification; assumption of risk; limitation of liability; cooperation with governmental authorities; dispute-resolution provisions; arbitration provisions; governing-law provisions; obligations accrued before termination; and any other provision that, by its nature, is intended to survive.
38. Severability
If any provision of this Agreement is determined by a court or arbitrator of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be interpreted and modified only to the minimum extent necessary to render it enforceable. If modification is not possible, the provision shall be severed from this Agreement. The remaining provisions shall continue in full force and effect.
39. Consumer Protection and State Law Compliance
Nothing contained within this Agreement is intended to waive, limit, or eliminate any legal right or protection that cannot lawfully be waived under applicable federal, state, territorial, tribal, or local law. Where applicable law grants a Mechanic mandatory rights that conflict with a provision of this Agreement, those mandatory rights shall control only to the extent required by law. Mechanics remain solely responsible for understanding and complying with laws applicable to their independent businesses.
40. Entire Agreement
This Mechanic User Agreement, together with the MechConnect Terms and Conditions, Privacy Policy, End User License Agreement (EULA), Customer User Agreement, and any additional policies expressly incorporated by reference, constitutes the complete agreement between MechConnect and the Mechanic regarding the Mechanic's use of the Platform.
41. Reservation of Rights
Except for the limited rights expressly granted under this Agreement, MechConnect reserves all rights relating to the Platform, including its software, databases, trademarks, trade dress, logos, business methods, algorithms, artificial intelligence systems, search functionality, recommendation systems, verification programs, payment systems, technology, and other intellectual property. Failure by MechConnect to enforce any provision of this Agreement shall not constitute a waiver of any rights.

43. Electronic Acceptance
BY CREATING A MECHANIC ACCOUNT, CLICKING "I AGREE," SUBMITTING INFORMATION, ACCEPTING A TRANSACTION, OR OTHERWISE USING THE PLATFORM AS A MECHANIC, YOU ACKNOWLEDGE THAT: YOU HAVE READ THIS AGREEMENT IN ITS ENTIRETY; YOU UNDERSTAND ITS TERMS; YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE BEFORE ACCEPTING THIS AGREEMENT; YOU VOLUNTARILY ACCEPT ALL OBLIGATIONS CONTAINED HEREIN; YOUR ELECTRONIC ACCEPTANCE CONSTITUTES A LEGALLY BINDING ELECTRONIC SIGNATURE; AND YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT TO THE SAME EXTENT AS IF YOU HAD EXECUTED A WRITTEN CONTRACT BEARING YOUR HANDWRITTEN SIGNATURE.
IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU MAY NOT REGISTER AS A MECHANIC OR CONTINUE USING THE PLATFORM AS A MECHANIC.
